PAYMENT TERMS

TERM AND TERMINATION

Either party may terminate this Agreement for material breach by the other party if the breaching party fails to cure such breach within the Notice Period after receiving written notice. INSURANCE AND INDEMNIFICATION

Grantee agrees to indemnify, defend and hold harmless Grantor and its officers, directors, employees and agents from and against any and all claims, losses, liabilities, damages, costs and expenses (including reasonable attorneys' fees) arising out of or resulting from Grantee's performance of activities under this Agreement, except to the extent caused by Grantor's gross negligence or willful misconduct.

Grantee will provide proof of insurance prior to commencement of activities.

COMPLIANCE WITH LAW

Grantee shall comply with all applicable federal, state and local laws, ordinances, regulations and codes in connection with its performance under this Agreement, including obtaining and maintaining any required permits, licenses or approvals at Grantee's expense.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of , without regard to its conflict of laws principles.

ENTIRE AGREEMENT
