Parties and Recitals

This General Business Agreement (the Agreement) is entered into by and between Business Person: and Counterparty: .

WHEREAS, Business Person possesses skills, expertise or business interests described below and desires to engage Counterparty to perform certain services or to collaborate on business activities; and

WHEREAS, Counterparty represents that it has the professional capacity and resources to perform the services set forth and is willing to accept engagement on the terms and conditions contained herein;

NOW, THEREFORE, in consideration of the mutual covenants and agreements contained in this Agreement, and other good and valuable consideration, the sufficiency of which is hereby acknowledged, the parties agree as follows:

Scope of Work

The parties agree that Counterparty shall perform the services and duties described below. The Scope of Work shall include specific deliverables, milestones, and responsibilities, and shall be performed in a commercially reasonable manner consistent with industry standards.

Payment Terms

Compensation to Counterparty shall be as follows:

All payments are due net as specified in the Payment Schedule. If any undisputed amount is not paid when due, interest shall accrue as set forth above and the non-defaulting party may suspend performance after delivering written notice of intent to suspend.

Term and Termination

This Agreement shall commence on Start Date: and shall continue until End Date: unless earlier terminated in accordance with this section.

Either party may terminate this Agreement for convenience upon providing written notice no less than days prior to the intended termination date. Either party may terminate immediately for material breach that remains uncured for a period of 30 days after written notice of such breach.

Confidentiality

Each party acknowledges that during the course of performance it may receive Confidential Information of the other party. "Confidential Information" means non-public business, technical, financial or other information disclosed in any form. Each receiving party shall: (i) hold Confidential Information in strict confidence, (ii) use it solely to perform under this Agreement, and (iii) not disclose it to any third party without prior written consent, except as required by law or to its employees and contractors who have a need to know and who are bound by confidentiality obligations at least as protective as those herein. Confidential obligations shall survive termination for a period of three (3) years, or longer as required to protect trade secrets.

Representations and Warranties; Indemnity

Each party represents that it has the full right, authority and capacity to enter into this Agreement. Each party shall indemnify, defend and hold harmless the other party from and against any third party claims arising out of the indemnifying party's negligence, willful misconduct, or breach of this Agreement, subject to applicable limitations and exclusions.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the state specified below without regard to conflict of law principles.

Entire Agreement; Amendments

This Agreement, including any attachments and written exhibits signed by the parties, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior discussions, negotiations, and agreements. No amendment, modification or waiver shall be effective unless in a writing signed by the party to be charged.

Notices

All notices required or permitted under this Agreement shall be in writing and delivered to the addresses set forth in this form or to such other address as a party may designate by written notice to the other. Notice is effective upon receipt.
