RECITALS

WHEREAS, Client desires to engage Service Provider to perform professional services as described in this Agreement and Service Provider agrees to provide such services under the terms set forth herein.

WHEREAS, Service Provider represents that it has the experience, qualifications and personnel required to undertake the Scope of Work and will perform in a professional and workmanlike manner consistent with industry standards.

WHEREAS, the parties desire to set forth their rights and obligations with respect to the performance, payment and confidentiality of the services to be provided.

Either party may terminate this Agreement without cause upon days prior written notice to the other party. Either party may terminate immediately for cause if the other party materially breaches any obligation and fails to cure such breach within days after receipt of written notice.

CONFIDENTIALITY

"Confidential Information" means all non-public information disclosed by either party relating to business operations, financials, technical data, designs, trade secrets, pricing, strategies and customer information. Each party shall hold Confidential Information in strict confidence, shall not disclose it to third parties except as authorized in writing, and shall use it solely to perform its obligations under this Agreement.

This Agreement, together with any exhibits or attachments expressly incorporated herein, constitutes the entire agreement between the parties with respect to the subject matter and supersedes all prior agreements, proposals, negotiations and understandings, whether written or oral.

No amendment or modification of this Agreement shall be effective unless in writing and signed by authorized representatives of both parties. Neither party may assign its rights or delegate its obligations under this Agreement without the prior written consent of the other party, except that Service Provider may assign to an affiliate or in connection with the sale of substantially all of its assets.
