Business Paid Family Leave (PFL) Administration Agreement

THIS BUSINESS PAID FAMILY LEAVE ADMINISTRATION AGREEMENT (the Agreement) is entered into as of Effective Date: by and between Employer Name: , and Administrator Name: .

RECITALS

WHEREAS, Employer maintains or intends to maintain a Paid Family Leave ("PFL") program for eligible employees and requires third-party administration of benefits, claims processing, and related employee communications; and

WHEREAS, Administrator is duly qualified and experienced to perform PFL administration services, including eligibility determinations, claims intake, benefit calculations, recordkeeping, and reporting; and

WHEREAS, the parties desire to set forth their respective rights and obligations with respect to administration of PFL benefits under the terms and conditions set forth in this Agreement.

SCOPE OF WORK

Administrator shall perform the following services in accordance with applicable law and Employer policies. Administrator shall exercise the degree of care and skill ordinarily exercised by professionals performing similar services.

PAYMENT TERMS

All fees not paid when due shall accrue interest at the rate set forth above and Administrator may suspend services after providing fifteen (15) days' written notice of non-payment.

TERM AND TERMINATION

This Agreement commences on Start Date: and continues until End Date: unless earlier terminated in accordance with this Section.

Either party may terminate this Agreement without cause upon providing written notice not less than days to the other party. Either party may terminate for material breach if such breach remains uncured thirty (30) days after written notice. Termination shall not relieve Employer of payment obligations for services performed through the effective date of termination.

CONFIDENTIALITY

Administrator acknowledges that in the course of performing services it will receive or have access to confidential and personally identifiable information of employees and Employer. Administrator shall:

(a) maintain all such information in strict confidence; (b) use the information solely to perform its obligations under this Agreement; (c) implement reasonable administrative, technical and physical safeguards to protect against unauthorized disclosure; and (d) comply with all applicable privacy and data protection laws.

Administrator may disclose confidential information only as required by law or regulation, provided Administrator gives Employer prompt written notice of the required disclosure and cooperates reasonably with Employer in any lawful effort to limit or protect such disclosure.

Administrator affirms its obligations under this Confidentiality section and certifies that it will not use or disclose confidential information except as permitted herein.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of , without regard to its choice-of-law principles.

ENTIRE AGREEMENT

This Agreement, including any exhibits and schedules attached hereto, constitutes the entire agreement between the parties with respect to its subject matter and supersedes all prior and contemporaneous negotiations, understandings, and agreements, whether written or oral. Any amendment must be in writing and signed by both parties.

MISCELLANEOUS

Assignment: Neither party may assign its rights under this Agreement without the prior written consent of the other, except that Administrator may assign to an affiliate or successor by merger or sale of substantially all assets provided Employer receives prior written notice.

Indemnification: Each party shall indemnify, defend and hold harmless the other from and against claims, liabilities and expenses arising out of its gross negligence or willful misconduct in the performance of this Agreement.
