RECITALS

WHEREAS, Client Name: desires to obtain certain proprietary goods, products, information and/or services relating to business process governance, product governance initiatives and integration of proprietary information (collectively, "PGI"); and

WHEREAS, Service Provider Name: has expertise and capacity to provide PGI deliverables and to perform the services described in this Business PGI Form under the terms set forth herein; and

NOW, THEREFORE, in consideration of the mutual promises and covenants contained in this Agreement, the parties agree as follows.

Either party may terminate this Agreement for material breach if the breaching party fails to cure such breach within days after written notice. In addition, either party may terminate for convenience upon delivering days' prior written notice to the other party.

Upon termination, Provider shall invoice Client for all work performed and expenses incurred through the effective date of termination, and Client shall pay such invoice in accordance with the Payment Terms.

CONFIDENTIALITY

"Confidential Information" means all nonpublic information disclosed by either party that is designated as confidential or that reasonably should be understood to be confidential given the nature of the information and the circumstances of disclosure, including business plans, technical data, customer lists, know-how, and PGI materials. Confidential Information does not include information that: (a) is or becomes generally available to the public other than through a breach of this Agreement; (b) was known to the receiving party prior to disclosure by the disclosing party; (c) is received from a third party without breach of an obligation of confidentiality; or (d) is independently developed by the receiving party without use of Confidential Information.

Each party shall (i) hold the other party’s Confidential Information in strict confidence, (ii) not disclose such Confidential Information to any third party except as expressly permitted herein, and (iii) use such Confidential Information solely to perform its obligations under this Agreement. The receiving party may disclose Confidential Information to its employees, contractors or advisors on a need-to-know basis provided such persons are bound by confidentiality obligations no less protective than those in this Agreement.

Notwithstanding the foregoing, a party may disclose Confidential Information to the extent required by law, provided that the receiving party gives the disclosing party prompt written notice and cooperates in any reasonable effort to obtain protective treatment. Remedies for breach include injunctive relief and recovery of damages.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to choice-of-law principles. The parties consent to the exclusive jurisdiction and venue of the state and federal courts located within the selected state for any dispute arising out of or related to this Agreement.

ENTIRE AGREEMENT

This Agreement, together with any attachments, exhibits and statements of work expressly incorporated herein, constitutes the entire agreement between the parties with respect to its subject matter and supersedes all prior and contemporaneous agreements, proposals, negotiations, representations and understandings, whether written or oral. No amendment or modification of this Agreement shall be effective unless in writing and signed by authorized representatives of both parties.

GENERAL PROVISIONS

Relationship of the Parties: The parties are independent contractors. Nothing in this Agreement creates an employment, partnership, joint venture or agency relationship between the parties. Neither party has authority to bind the other except as expressly provided in this Agreement.

Indemnification: Each party shall indemnify, defend and hold harmless the other party from and against claims, liabilities, losses, costs and expenses (including reasonable attorneys’ fees) arising out of the indemnifying party’s breach of this Agreement, gross negligence or willful misconduct.
