Recitals

WHEREAS, Client Name: desires to obtain certain commercial services and guarantees from Service Provider Name: ; and

WHEREAS, Service Provider represents that it has the expertise, personnel, and resources necessary to perform the work described herein and to provide any agreed guarantees, and Client desires to engage Service Provider for the Scope of Work under the terms set forth in this Agreement.

Term and Termination

Term Commencement: This Agreement commences on and, unless earlier terminated as provided below, expires on .

Either party may terminate this Agreement for convenience upon days' prior written notice. Either party may terminate immediately for material breach that remains uncured for a period of days following written notice of such breach.

Termination shall not relieve Client of its obligation to pay for services performed and non-cancellable commitments made prior to the effective date of termination. Upon termination, Service Provider shall deliver work in progress and reasonable documentation necessary for transition, subject to payment of outstanding amounts.

Confidentiality

Definition: "Confidential Information" means non-public business, technical or financial information disclosed by one party to the other, whether disclosed orally or in writing, that is identified as confidential or that reasonably should be understood to be confidential given the nature of the information and the circumstances of disclosure.

Obligations: The receiving party shall (a) use Confidential Information solely for performance under this Agreement; (b) limit disclosure to those employees, agents or contractors with a need to know and who are bound by confidentiality obligations at least as protective as those herein; and (c) protect Confidential Information using at least the same degree of care it uses to protect its own confidential information, but no less than a reasonable standard of care.

Exceptions and Duration: Confidential Information does not include information that is or becomes public through no breach, was rightfully in the receiving party's possession prior to disclosure, or is independently developed. The confidentiality obligations shall survive for years following termination of this Agreement, except for trade secrets which shall remain protected for as long as they qualify as trade secrets under applicable law.

Liability and Indemnification

Indemnification: Each party agrees to indemnify, defend and hold harmless the other party from and against any third-party claims arising out of the indemnifying party's gross negligence, willful misconduct, or material breach of this Agreement, subject to applicable limitations of liability set forth herein.

Limitation of Liability: Except for each party's indemnification obligations, neither party shall be liable for consequential, incidental, special or punitive damages. Each party's aggregate liability for direct damages arising from or related to this Agreement shall not exceed the total amounts paid or payable by Client to Service Provider under this Agreement in the twelve (12) month period preceding the claim.

Governing Law; Dispute Resolution

Governing Law: This Agreement shall be governed by and construed in accordance with the laws of the State of , without regard to its conflict of law principles.

Disputes: The parties shall attempt in good faith to resolve disputes through negotiation. If unresolved within thirty (30) days, disputes shall be resolved by binding arbitration in accordance with mutually agreed rules, or, if arbitration is not agreed, by courts located in the county of the governing law state selected above.

Miscellaneous

Assignment: Neither party may assign this Agreement without the prior written consent of the other party, except to an affiliate or in connection with a merger, sale of substantially all assets, or change of control, provided the assignee assumes all obligations hereunder.

Notices: All notices required or permitted hereunder shall be in writing and delivered to the invoicing contact or as otherwise designated in writing by the parties.

Entire Agreement

This Agreement, together with any exhibits or schedules expressly incorporated herein, constitutes the entire agreement between the parties with respect to the subject matter and supersedes all prior agreements and understandings, whether written or oral. Any modification to this Agreement must be in writing and signed by authorized representatives of both parties.
