BUSINESS PHOTO DOCUMENT

This Business Photo Document (the Agreement) is entered into by and between Client Name: and Photographer Name: effective as of the date of the later signature below.

WHEREAS, Client is in the business of marketing, advertising and promoting its business operations and desires professional photographic materials for use in print and digital media; and

WHEREAS, Photographer is engaged in providing professional photography services and possesses the necessary skill, personnel and equipment to produce the photographic works described herein; and

NOW, THEREFORE, in consideration of the mutual covenants set forth below and other good and valuable consideration, the receipt and sufficiency of which are acknowledged, the parties agree as follows:

Either party may terminate this Agreement for convenience upon written notice delivered not less than days prior to the effective date of termination. Termination shall not relieve Client of the obligation to pay for work performed and expenses incurred prior to the effective date of termination.

5. License, Ownership and Use

Copyright Ownership: Photographer retains all copyrights in the photographs produced under this Agreement unless an express assignment is made in writing below.

6. Confidentiality

Each party agrees to hold in strict confidence all confidential information of the other party disclosed in connection with this Agreement and not to use or disclose such information except as necessary to perform under this Agreement or as required by law. Confidential information includes unpublished photographs prior to delivery, pricing, creative briefs and any non-public business information. The confidentiality obligations shall survive termination for a period of months.

7. Delivery and Acceptance

Delivery: Photographer will deliver the final images to Client in the formats described in Deliverables within the timeframes listed in Scope of Work. Client shall have business days from delivery to accept or provide written change requests. After acceptance or expiration of the acceptance period without objection, images will be deemed accepted.

8. Representations, Warranties and Indemnity

Photographer represents that the photographs are original works and do not infringe any third-party rights. Client represents that any materials provided to Photographer (logos, third-party images, or models) are owned or properly licensed and that Client has obtained all necessary releases for use. Each party shall indemnify, defend and hold the other harmless from and against any losses, liabilities, damages and expenses arising from breach of the foregoing representations, except to the extent caused by the other party's gross negligence or willful misconduct.

9. Limitation of Liability

Except for liability arising from wilful misconduct or breach of confidentiality or indemnity obligations, neither party's aggregate liability for claims arising under this Agreement shall exceed the total amount actually paid by Client to Photographer under this Agreement.

10. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to conflict of laws principles.

11. Entire Agreement

This Agreement constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals and communications, whether oral or written. Any amendment must be in writing and signed by both parties.

12. Miscellaneous Provisions

Assignment: Neither party may assign its rights or obligations under this Agreement without the other party's prior written consent, except that Client may assign this Agreement in connection with a sale of substantially all of its assets.

Notices: All notices required or permitted hereunder shall be in writing and shall be delivered to the other party at the address provided above or at such other address as either party may designate by notice to the other.
