BUSINESS PICTURE AGREEMENT

This Business Picture Agreement (the Agreement) is entered into as of between Client Name: (Client) and Service Provider Name: (Provider).

WHEREAS

WHEREAS, Client desires to obtain business photography and related image services for Client's commercial use, including promotional, marketing, and internal communications purposes; and

WHEREAS, Provider represents that Provider has the skill, personnel, equipment and experience to deliver professional photographic services, capture digital images, and deliver final file formats specified below; and

WHEREAS, the parties wish to set forth the terms and conditions under which Provider will provide such services and Client will obtain specified rights in the delivered images.

SCOPE OF WORK

PAYMENT TERMS

Client shall pay Provider a total fee of for the services and deliverables described above. A non-refundable deposit of is due upon execution of this Agreement.

Late payments shall incur interest at the rate of on outstanding balances, plus any collection costs and reasonable attorney's fees incurred by Provider to enforce payment.

TERM AND TERMINATION

The term of this Agreement commences on Start Date: and shall continue until End Date: unless earlier terminated in accordance with this Section.

Either party may terminate this Agreement for material breach by the other party if the breaching party fails to cure such breach within days after receipt of written notice specifying the nature of the breach. Termination shall not relieve Client of obligation to pay for services performed or deliverables provided prior to termination.

CONFIDENTIALITY

Each party shall treat as confidential all non-public information and materials provided by the other party in connection with this Agreement, including but not limited to business plans, image files not yet released publicly, pricing, and client lists ("Confidential Information"). Confidential Information shall not be disclosed to any third party except as required by law or with prior written consent. The obligations in this Section shall survive termination of this Agreement for a period of three (3) years.

INTELLECTUAL PROPERTY AND LICENSE

Provider retains copyright and all moral rights in the images and other materials created under this Agreement unless expressly assigned in a separate signed written instrument. Upon full payment of all fees due hereunder, Provider grants Client a non-exclusive, worldwide, royalty-free, perpetual license to use the delivered images for Client's internal and external business purposes, advertising, marketing, and promotional materials, subject to the limitations below.

Client shall not sublicense, sell, or transfer the images except as expressly permitted in writing. Provider may use images in Provider's promotional materials, portfolio, and submissions for awards, subject to Client's reasonable request to withhold sensitive materials.

INDEMNIFICATION; LIMITATION OF LIABILITY

Each party agrees to indemnify, defend and hold harmless the other party from and against any third-party claims, damages, liabilities and expenses arising from the indemnifying party's breach of this Agreement or negligent acts or omissions. IN NO EVENT SHALL EITHER PARTY BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES ARISING OUT OF THIS AGREEMENT, AND THE AGGREGATE LIABILITY OF EITHER PARTY SHALL NOT EXCEED THE AMOUNTS PAID BY CLIENT TO PROVIDER UNDER THIS AGREEMENT.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to its conflict of laws principles. The parties submit to the exclusive jurisdiction of the state and federal courts located in that State for resolution of disputes arising under this Agreement.

ENTIRE AGREEMENT

This Agreement constitutes the entire agreement between the parties concerning the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals, and communications, whether written or oral. Any amendment to this Agreement must be in writing and signed by both parties.

MISCELLANEOUS

If any provision of this Agreement is held to be invalid or unenforceable, the remaining provisions will remain in full force and effect. The failure of either party to enforce any right shall not be construed as a waiver of such right.
