BUSINESS PILOT AGREEMENT

This Business Pilot Agreement ("Agreement") is made and entered into on by and between ("Provider") and ("Client").

RECITALS

WHEREAS, Provider develops, operates, or otherwise makes available the product, service, or solution described in this Agreement for the purpose of evaluating feasibility, performance, and commercial viability in a controlled pilot deployment; and

WHEREAS, Client desires to engage Provider to conduct a limited-duration pilot pursuant to the terms set forth herein for the purpose of assessing Provider's solution in Client's operational environment.

NOW, THEREFORE, in consideration of the mutual covenants and agreements contained herein, the parties agree as follows:

SCOPE OF WORK

Provider shall perform the pilot services described below. The pilot shall be limited in scope to the activities expressly set forth in the following description. Any change to scope must be documented in a written change order signed by both parties.

PAYMENT TERMS

In consideration for the services to be performed by Provider under this Agreement, Client shall pay Provider as follows:

All amounts are exclusive of taxes. Client shall pay any sales, use, or similar taxes required by applicable law, except taxes based on Provider's net income.

TERM AND TERMINATION

The pilot shall commence on and shall continue until unless earlier terminated as provided below.

Either party may terminate this Agreement for material breach by the other party if such breach remains uncured for the notice period specified above. Either party may also terminate upon written notice if the other party becomes insolvent or subject to receivership, bankruptcy, or similar proceeding.

CONFIDENTIALITY

Each party (the "Receiving Party") shall keep confidential all non-public information disclosed by the other party (the "Disclosing Party") that is designated as confidential or that reasonably should be understood to be confidential given the nature of the information and the circumstances of disclosure ("Confidential Information"). The Receiving Party shall (i) use Confidential Information only to perform its obligations or exercise its rights under this Agreement, (ii) restrict disclosure to employees, contractors, and agents who have a need to know and are subject to confidentiality obligations no less protective than those in this Agreement, and (iii) not disclose Confidential Information to any third party without the Disclosing Party's prior written consent. Confidential Information shall not include information which: (a) was in the public domain at the time of disclosure; (b) becomes part of the public domain through no fault of the Receiving Party; (c) is independently developed by the Receiving Party without use of the Disclosing Party's Confidential Information; or (d) is rightfully received from a third party without an obligation of confidentiality.

LIMITATION ON USE; DATA

Provider may collect performance and usage data generated during the pilot. Provider may use aggregated and anonymized data for internal purposes, improvement of services, and demonstrations of functionality, provided that such use does not identify Client or disclose Client Confidential Information. Client retains ownership of its pre-existing data and any data expressly identified in the scope as Customer Data.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of without regard to its conflicts of law principles.

ENTIRE AGREEMENT

This Agreement, including any attachments or signed change orders, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous proposals, negotiations, representations, and agreements, whether written or oral. Any modification to this Agreement must be in writing and signed by duly authorized representatives of both parties.

MISCELLANEOUS

If any provision of this Agreement is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect. Neither party may assign this Agreement without the prior written consent of the other, except to a successor in interest in a merger or sale of substantially all assets, provided that the assignee assumes all obligations hereunder.
