WHEREAS

WHEREAS, Provider maintains processes, tools and personnel for sourcing, qualifying and advancing prospective sales opportunities through an organized business pipeline intended to generate contracted revenue for Recipient; and

WHEREAS, Recipient desires Provider to operate and manage specified elements of Recipient's sales pipeline and Provider agrees to provide such services in accordance with the terms and conditions set forth in this Agreement.

NOW, THEREFORE, in consideration of the mutual covenants set forth herein, the parties agree as follows:

PAYMENT TERMS

Provider shall be compensated by Recipient according to the following provisions. All fees are payable in U.S. dollars unless otherwise agreed in writing.

All undisputed sums not paid when due shall accrue interest at the rate specified above and may be recovered by Provider together with any costs of collection, including reasonable attorneys' fees.

TERM AND TERMINATION

This Agreement shall commence on and shall continue until unless earlier terminated in accordance with this Section.

Either party may terminate this Agreement for convenience upon days' prior written notice. Either party may terminate for material breach if the breaching party fails to cure such breach within 30 days after receipt of written notice describing the breach.

Upon termination, Provider shall deliver all work product and documented pipeline data up to the effective termination date and Recipient shall pay all fees and reimbursable expenses accrued through the termination date.

CONFIDENTIALITY

For the term of this Agreement and for a period of years thereafter, each party shall hold in strict confidence and shall not disclose to any third party any Confidential Information of the other party. "Confidential Information" includes business plans, customer lists, pipeline data, pricing, deal terms, and any non-public information disclosed in connection with the Agreement.

Obligations under this clause do not apply to information that (i) is or becomes public without breach of this Agreement; (ii) was rightfully in the receiving party's possession before receipt; (iii) is received from a third party without obligation of confidentiality; or (iv) is independently developed without use of the disclosing party's Confidential Information. Each party may disclose Confidential Information to its employees, contractors or advisors who have a need to know and who are bound by confidentiality obligations no less protective than those set forth herein.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to conflict-of-law principles. Venue for any dispute arising under this Agreement shall be in the courts located in that State.

ENTIRE AGREEMENT

This Agreement, together with any exhibits or attachments expressly incorporated herein, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals and communications, whether written or oral. Any amendment or waiver must be in writing and signed by authorized representatives of both parties.

MISCELLANEOUS PROVISIONS

Assignment: Neither party may assign its rights or obligations under this Agreement without the prior written consent of the other party, except that either party may assign to an affiliate or in connection with a merger or sale of substantially all of its assets.

Independent Contractor: Provider is an independent contractor. Nothing in this Agreement creates an employment, partnership, joint venture or agency relationship between the parties.

AUDIT & DATA ACCESS

Recipient may audit pipeline records and metrics relevant to performance once per quarter upon reasonable prior notice. Provider shall maintain comprehensive records relating to services performed and shall provide access to such records during normal business hours for the purpose of verifying performance and compliance.
