RECITALS

WHEREAS, Client operates a business engaged in activities identified as , and seeks targeted performance improvement plans and related advisory services to improve operational metrics and financial performance; and

WHEREAS, Provider represents that it has the experience, personnel, and methodology to develop, implement, and monitor Performance Improvement Plans ("PIPs") specific to Client's needs and will perform such services in accordance with the terms of this Agreement; and

WHEREAS, the parties desire to set forth herein the scope, deliverables, compensation, term, confidentiality obligations and other terms governing Provider's engagement.

SCOPE OF WORK

PAYMENT TERMS

Client shall pay Provider the fees set forth below in consideration for the services and deliverables described above. All fees are exclusive of applicable taxes unless otherwise stated.

TERM AND TERMINATION

This Agreement commences on the Effective Date and continues until the End Date unless earlier terminated in accordance with this Section.

Termination for Cause: Either party may terminate this Agreement for material breach by the other party if the breach is not cured within the notice period specified above. Upon termination, Provider shall deliver all completed deliverables and invoice for services performed through the effective date of termination. Client shall pay undisputed amounts within the payment terms.

CONFIDENTIALITY

Definition: "Confidential Information" means non-public information disclosed by one party to the other, whether oral, written or electronic, including business plans, processes, financial information, PIPs, and client data. Confidential Information does not include information that is or becomes publicly available through no wrongful act of the recipient, was known to recipient prior to disclosure, or is independently developed.

Obligations: The recipient shall (i) use Confidential Information solely to perform under this Agreement, (ii) protect Confidential Information with at least the same degree of care it uses to protect its own confidential information, and (iii) not disclose Confidential Information except to employees, contractors or advisors who have a need to know and are bound by confidentiality obligations no less restrictive than those herein.

Return or Destruction: Upon termination or written request, the recipient shall return or destroy Confidential Information and certify such return or destruction in writing to the discloser within the period set forth below.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of , without regard to conflict of laws principles. The parties consent to exclusive jurisdiction and venue in the state and federal courts located in such jurisdiction for disputes arising under this Agreement.

REPRESENTATIONS, INDEMNIFICATION & LIMITATION OF LIABILITY

Each party represents that it has the full right, power and authority to enter into this Agreement. Provider represents that services will be performed in a professional and workmanlike manner consistent with industry standards.

Indemnification: Each party shall indemnify and hold harmless the other party from and against third-party claims arising out of the indemnifying party's gross negligence, willful misconduct or material breach of this Agreement, subject to the indemnified party's obligation to mitigate damages and provide prompt notice of claims.

Except for liability arising from willful misconduct, gross negligence, or a party's breach of confidentiality or indemnification obligations, neither party shall be liable for consequential, incidental, special or punitive damages.

ENTIRE AGREEMENT

This Agreement, together with any exhibits or statements of work expressly incorporated herein, constitutes the entire agreement between the parties with respect to the subject matter and supersedes all prior and contemporaneous agreements, proposals, representations and understandings, whether written or oral. Any amendment must be in writing and signed by authorized representatives of both parties.

If any provision of this Agreement is held to be invalid or unenforceable, the remaining provisions will remain in full force and effect and the parties shall negotiate in good faith a substitute valid provision that reasonably approximates the intent of the invalid provision.
