WHEREAS

WHEREAS, Client operates a business known as Business Name: and seeks a comprehensive business plan to support operations, financing, or strategic growth; and

WHEREAS, Consultant represents that Consultant has the expertise, experience, and personnel to prepare and deliver a business plan and related analyses in accordance with the terms set forth in this Agreement; and

WHEREAS, the parties desire to set forth their mutual rights and obligations with respect to preparation, delivery, acceptance, and payment for the Services described below.

Late payment shall incur a late fee of on any past due balance, calculated monthly and compounded as permitted by law. Client shall also be responsible for reasonable collection costs and attorney's fees incurred by Consultant in enforcing payment.

TERM AND TERMINATION

This Agreement shall commence on Start Date: and shall continue until End Date: unless earlier terminated in accordance with this Agreement.

Either party may terminate this Agreement for convenience upon written notice to the other party delivered not less than Notice Period: days prior to termination. Either party may terminate immediately for material breach by the other party that remains uncured for a period of 15 days after written notice specifying the breach.

Upon termination, Consultant shall deliver to Client all completed deliverables and work in progress, and Client shall pay Consultant for Services performed and expenses incurred through the effective date of termination, prorated where appropriate.

CONFIDENTIALITY

Each party (the Receiving Party) shall keep confidential and shall not disclose to any third party any Confidential Information of the other party (the Disclosing Party) without the Disclosing Party's prior written consent. "Confidential Information" means non-public business, financial, technical, and operational information disclosed in connection with this Agreement, whether oral, written, electronic, or visual, and expressly including any business plan, financial projections, customer lists, and proprietary methodologies.

The obligations of confidentiality shall survive termination or expiration of this Agreement for a period of three (3) years, except as to trade secrets which shall remain protected for so long as they qualify as trade secrets under applicable law.

INTELLECTUAL PROPERTY AND USAGE

Unless otherwise agreed in writing, Consultant grants to Client a nonexclusive, perpetual license to use the final business plan deliverables for Client's internal business purposes and for presentation to prospective lenders or investors. Consultant retains ownership of methodologies, templates, and tools used to prepare the deliverables, which remain Consultant's Confidential Information.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of State: without regard to its conflict of laws principles. Any dispute arising out of or relating to this Agreement shall be resolved in the state or federal courts located in such state, and the parties hereby submit to the exclusive jurisdiction of those courts.

LIMITATION OF LIABILITY

Except for liability arising from gross negligence, willful misconduct, or breach of confidentiality, neither party shall be liable to the other for consequential, incidental, special, or punitive damages, and Consultant's aggregate liability arising out of or relating to this Agreement shall not exceed the total fees paid by Client to Consultant under this Agreement.

ENTIRE AGREEMENT

This Agreement constitutes the entire understanding and agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals, representations, and communications, whether written or oral. Any amendment or modification of this Agreement must be in writing and signed by duly authorized representatives of both parties.

MISCELLANEOUS

Assignment: Neither party may assign this Agreement without the prior written consent of the other, except that Consultant may assign to a successor in connection with a merger or sale of substantially all of Consultant's assets.
