WHEREAS, the Client seeks a comprehensive business plan, including strategic analysis, financial projections and implementation milestones to support the Client's business objectives; and

WHEREAS, the Consultant possesses the experience and professional capability to prepare a business plan and provide advisory services as described herein; and

WHEREAS, the parties desire to set forth the scope, payment terms, confidentiality and other material terms of their engagement in writing as a binding agreement.

Payment Terms

A late fee of will be assessed on overdue amounts, calculated monthly and compounded as permitted by law. Parties acknowledge that such fee represents a reasonable estimate of damages for late payment.

Either party may terminate this Agreement for convenience upon delivery of written notice in accordance with the notice period above. Termination for material breach will be effective if the breaching party fails to cure within thirty (30) days after written notice of breach unless a different cure period is specified in a separate clause contained herein.

Confidentiality

For purposes of this Agreement, "Confidential Information" means all non-public business, technical or financial information disclosed by either party to the other, whether disclosed orally, in writing, or by inspection. The receiving party shall: (a) hold Confidential Information in strict confidence; (b) not disclose it to any third party except as compelled by law or with prior written consent; and (c) use it solely for performance of this Agreement. The obligations of confidentiality survive termination for a period of five (5) years, except for trade secrets which shall be protected for so long as they remain trade secrets under applicable law.

Intellectual Property and Deliverables

Except as otherwise agreed in writing, all original work product prepared by the Consultant specifically for the Client under this Agreement shall be deemed "Deliverables." Upon full payment, Consultant grants Client a perpetual, non-exclusive, worldwide right to use the Deliverables for Client's business purposes. Consultant retains ownership of pre-existing materials and underlying methodologies; Client receives no rights to Consultant's proprietary templates except as expressly licensed in writing.

Limitation of Liability

To the maximum extent permitted by law, each party's aggregate liability to the other under or in connection with this Agreement shall not exceed the total fees paid to Consultant under this Agreement. Neither party shall be liable for consequential, incidental, special or punitive damages except for damages arising from gross negligence or willful misconduct.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the jurisdiction: , without regard to conflict of laws principles.

Entire Agreement

This Agreement, together with any exhibits or attachments executed by the parties, constitutes the entire agreement between the parties with respect to the subject matter and supersedes all prior negotiations and understandings. Any amendment must be in writing and signed by authorized representatives of both parties.
