BUSINESS PLANNING CONSULTATION AGREEMENT

This Business Planning Consultation Agreement (the Agreement) is made and entered into on this by and between:

RECITALS

WHEREAS, Consultant possesses specialized knowledge and professional experience in business planning, strategy development, financial forecasting, and implementation planning; and

WHEREAS, Client desires to retain Consultant to provide a business planning consultation and related deliverables described in this Agreement, and Consultant agrees to provide such services under the terms and conditions set forth herein; and

WHEREAS, the parties intend that the services will result in practical planning deliverables to support Client's business objectives, described generally as .

SCOPE OF WORK

Consultant shall provide business planning consultation services to Client, which shall include analysis, planning, and deliverables as set forth below. Consultant shall perform services with reasonable skill and care in a professional manner consistent with industry standards.

PAYMENT TERMS

Client shall pay Consultant the fees and expenses set forth in this section in consideration for the services rendered.

Consultant may suspend performance if invoices are not paid within the time specified. Client shall reimburse Consultant for reasonable costs and expenses incurred in collection of overdue amounts, including attorneys' fees and collection costs.

TERM AND TERMINATION

This Agreement shall commence on the Effective Date and continue until completion of the services unless earlier terminated as provided herein.

Either party may terminate this Agreement for material breach by the other party if the breaching party fails to cure such breach within the notice period specified immediately above. Termination shall not relieve Client of its obligation to pay for services performed and expenses incurred through the effective date of termination.

CONFIDENTIALITY

During the term of this Agreement and thereafter, each party shall hold in confidence and shall not disclose to any third party any Confidential Information of the other party. "Confidential Information" means non-public business, technical, financial, strategic or proprietary information disclosed in any form by one party to the other, whether marked confidential or not, that is reasonably understood to be confidential.

The obligations of confidentiality shall not apply to information that: (a) is or becomes generally available to the public other than by a breach of this Agreement; (b) was known to the receiving party prior to disclosure by the disclosing party without obligation of confidentiality; (c) is rightfully received from a third party without restriction; or (d) is independently developed by the receiving party without use of the disclosing party's Confidential Information.

INTELLECTUAL PROPERTY AND DELIVERABLES

Subject to full payment of all fees due, Consultant grants to Client a nonexclusive, nontransferable license to use deliverables produced under this Agreement for Client's internal business purposes. Consultant retains ownership of Consultant's methodologies, templates, pre-existing materials and other intellectual property used in connection with the services. Client shall not distribute or resell Consultant's proprietary materials without Consultant's prior written consent.

LIMITATION OF LIABILITY

Except for liabilities arising from willful misconduct or gross negligence, Consultant's total liability to Client for any claim arising out of or relating to this Agreement shall be limited to direct damages not to exceed the total fees paid by Client to Consultant under this Agreement. IN NO EVENT SHALL EITHER PARTY BE LIABLE FOR INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the state of without regard to conflict of laws principles. Venue for any dispute arising under this Agreement shall be in the state or federal courts located in that state.

ENTIRE AGREEMENT

This Agreement constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior agreements, proposals, negotiations and communications, whether oral or written. Any amendment or modification of this Agreement shall be effective only if in writing and signed by both parties.

NOTICES

All notices required or permitted under this Agreement shall be in writing and delivered to the addresses set forth above or to such other address as a party may designate by notice. Notices shall be deemed given upon receipt.
