WHEREAS

WHEREAS, Client desires to obtain professional business planning, strategy development, and related advisory services for the purpose of setting or refining strategic objectives, financial forecasts, operational plans, and go-to-market preparation; and

WHEREAS, Consultant has the professional expertise, personnel, and resources necessary to provide such services and is willing to provide those services to Client on the terms and conditions set forth in this Agreement; and

WHEREAS, the parties intend by this Agreement to set forth the scope, deliverables, payment terms, confidentiality obligations, term, and other material terms governing the engagement.

PAYMENT TERMS

Late Payment Fee: A late fee of will accrue on overdue amounts, calculated monthly on the outstanding balance until paid in full. Client shall also be responsible for reasonable collection costs and interest permitted by law.

Either party may terminate this Agreement for convenience upon days' prior written notice. Termination for cause may be effected by the non-breaching party if a material breach is not cured within thirty (30) days after written notice specifying the breach. Upon termination, Client will pay for all services performed and approved expenses incurred through the effective date of termination.

CONFIDENTIALITY

Each party acknowledges that it may receive Confidential Information from the other. "Confidential Information" means non-public information disclosed in any form that is designated as confidential or that ought reasonably to be understood to be confidential. The receiving party shall (a) hold Confidential Information in strict confidence, (b) use such information solely to perform obligations under this Agreement, and (c) not disclose it to third parties except to employees, agents, or contractors who have a need to know and who are bound by obligations of confidentiality no less protective than those herein. Confidentiality obligations do not apply to information that is or becomes publicly available without breach, is rightfully received from a third party without restriction, or is independently developed without use of the disclosing party's Confidential Information. Upon termination, the receiving party shall return or certify destruction of the disclosing party's confidential materials, except to the extent retention is required by applicable law.

GOVERNING LAW; DISPUTE RESOLUTION

This Agreement shall be governed by and construed in accordance with the laws of the State specified by the parties below. Any dispute arising out of or relating to this Agreement shall first be referred to the parties' senior representatives for good faith negotiation. If unresolved within thirty (30) days, the parties may pursue any available remedies in the courts located in the agreed jurisdiction. The parties waive trial by jury to the extent permitted by law.

ENTIRE AGREEMENT

This Agreement, including the Scope of Work and any written attachments signed by both parties, constitutes the entire agreement between the parties concerning the subject matter hereof and supersedes all prior and contemporaneous understandings, agreements, representations and warranties, both written and oral. No modification of this Agreement shall be effective unless in writing and signed by authorized representatives of both parties.

NOTICES

All notices required or permitted under this Agreement shall be in writing and delivered to the addresses below by hand, certified mail (return receipt requested), or a nationally recognized courier service. Notice is effective upon receipt.

ACKNOWLEDGMENT
