BUSINESS PLAN & PROPOSAL AGREEMENT

WHEREAS

WHEREAS, Client Name: seeks the preparation of a comprehensive business plan and proposal to secure financing, strategic partnerships, or operational guidance; and

WHEREAS, Consultant Name: represents that it possesses the necessary expertise to develop the business plan, financial projections, and associated deliverables described herein; and

NOW, THEREFORE, in consideration of the mutual covenants and promises set forth in this Agreement, the parties agree as follows.

SCOPE OF WORK

Consultant shall prepare and deliver a comprehensive business plan and proposal, including but not limited to market analysis, competitive assessment, organizational structure, operational plan, sales and marketing strategy, and financial projections. Specific deliverables, milestones, and acceptance criteria are described below.

PAYMENT TERMS

Total Fee: payable in accordance with the schedule below.

Deposit Required: due upon execution of this Agreement.

Late Payment Fee: Unpaid amounts shall bear interest at % per month (or the maximum rate permitted by applicable law), calculated monthly from the invoice due date until paid in full. Client shall also be responsible for reasonable collection costs and attorneys' fees incurred by Consultant in enforcing payment.

Reimbursable Expenses: placeholder="Check if reimbursable"> If checked, Client will reimburse reasonable, preapproved out-of-pocket expenses incurred by Consultant, subject to submission of receipts.

TERM AND TERMINATION

This Agreement shall commence on the Start Date: and shall continue until the End Date: unless earlier terminated as provided below.

Either party may terminate this Agreement for convenience upon written notice to the other party delivered at least days prior to the effective date of termination. Either party may terminate immediately for material breach by the other party that remains uncured for 15 days following written notice of such breach.

Upon termination, Client shall pay Consultant for all services performed and expenses incurred through the effective date of termination, together with any noncancellable commitments reasonably incurred by Consultant in connection with the performance of services.

CONFIDENTIALITY

Each party shall maintain in confidence and shall not disclose to any third party any Confidential Information of the other party. "Confidential Information" means nonpublic information disclosed in connection with this Agreement that is identified as confidential or that reasonably should be understood to be confidential given the nature of the information and the circumstances of disclosure. Confidential Information does not include information that is or becomes publicly available through no fault of the receiving party, was known by the receiving party prior to disclosure, or is independently developed without use of the disclosing party's Confidential Information.

The receiving party may disclose Confidential Information to its employees, agents, and advisors who have a need to know, provided that such persons are bound by confidentiality obligations at least as protective as those set forth herein. The obligations in this section shall survive termination of this Agreement for a period of three (3) years, except that trade secrets shall be protected for as long as they remain trade secrets under applicable law.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to its conflicts of law rules. The parties consent to the exclusive jurisdiction and venue of the state and federal courts located in that State for any dispute arising out of or relating to this Agreement.

ENTIRE AGREEMENT

This Agreement, together with any exhibits or schedules attached hereto and any written change orders signed by both parties, constitutes the entire agreement between the parties regarding the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals, and communications, whether oral or written. Any modification or amendment must be in writing and signed by authorized representatives of both parties.

MISCELLANEOUS

Independent Contractor. Consultant is an independent contractor and is not an employee, partner, agent, or joint venturer of Client. Consultant shall be solely responsible for all taxes, withholdings, and other statutory obligations with respect to Consultant's personnel.

Severability. If any provision of this Agreement is held invalid or unenforceable, the remaining provisions shall remain in full force and effect.
