BUSINESS PLANT ADDENDUM

This Business Plant Addendum (the "Addendum") is entered into effective as of by and between:

WHEREAS, the parties previously entered into a written agreement titled "Business Services Agreement" dated (the "Agreement"); and

WHEREAS, the parties desire to amend the Agreement to address specific matters relating to the plant facilities, equipment, maintenance obligations, and related operations at the location identified below.

PLANT LOCATION AND DESCRIPTION

The plant described in this Addendum (the "Plant") consists of the premises, buildings, fixed machinery and equipment at the address above and all appurtenances and utilities required for normal operation as further identified in the Equipment Inventory below.

TERM AND TERMINATION

This Addendum shall commence on and shall terminate on unless earlier terminated in accordance with this section.

Either party may terminate this Addendum for material breach by the other party following thirty (30) days' written notice specifying the breach and failure to cure. Termination for cause may be immediate where required to prevent imminent harm to persons, property, or the environment.

CONFIDENTIALITY

Each party shall keep confidential all non-public information disclosed in connection with the Plant operations, including technical specifications, maintenance records, and financial data ("Confidential Information"). Confidential Information shall not include information that: (a) is or becomes generally available to the public through no fault of the receiving party; (b) was in the receiving party's lawful possession prior to receipt; or (c) is rightfully received from a third party free of any obligation of confidentiality.

Confidentiality obligations shall survive termination of this Addendum for the number of years specified above, except that trade secrets shall remain protected for as long as they qualify as trade secrets under applicable law.

INSURANCE AND INDEMNIFICATION

The party performing maintenance or other work at the Plant shall maintain commercial general liability insurance, automobile liability insurance where applicable, and workers' compensation as required by law. The performing party shall name the other party as an additional insured for liability arising out of plant operations and shall provide certificates evidencing such coverage upon request.

Each party shall indemnify, defend and hold harmless the other party from and against any claims, damages or liabilities arising from the indemnifying party's negligence, willful misconduct, or breach of this Addendum, subject to applicable law and any limits set forth in the Agreement.

COMPLIANCE; ENVIRONMENTAL AND SAFETY

All Plant operations, maintenance, modifications, and disposals of materials shall comply with applicable environmental, health and safety laws and regulations. The performing party shall promptly notify the other party of any release of hazardous materials or any incident that may give rise to regulatory reporting or remediation obligations.

GOVERNING LAW

This Addendum shall be governed by and construed in accordance with the laws of the state of without regard to conflicts of law principles.

ENTIRE AGREEMENT

This Addendum, together with the Agreement, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, understandings, negotiations and discussions, whether oral or written, relating to the Plant. In the event of any conflict between this Addendum and the Agreement, the terms of this Addendum shall control as to the Plant matters addressed herein.
