This Business Plot Template (the Agreement) is entered into as of by and between:

WHEREAS

WHEREAS, Client operates a business requiring the development, organization and planning of a commercial business plot and associated materials, including but not limited to business plans, market analyses, and operational outlines; and

WHEREAS, Contractor represents that it has the experience, skill, and personnel required to prepare and deliver a comprehensive business plot and associated deliverables as set forth in this Agreement; and

WHEREAS, the parties desire to establish the terms under which Contractor will provide such services and Client will compensate Contractor.

SCOPE OF WORK

Contractor shall perform the services described below. The services shall include preparation of a business plot comprising a written business plan, site and market analysis, financial projections, organizational structure recommendations, and implementation milestones. Any material changes to the scope shall require a written amendment signed by both parties.

PAYMENT TERMS

Client shall pay Contractor the fees specified below in consideration for the services.

TERM AND TERMINATION

The term of this Agreement shall commence on and shall expire on unless earlier terminated as provided herein.

Either party may terminate this Agreement for material breach if the breaching party fails to cure such breach within the notice period specified above after receiving written notice. Termination shall not relieve Client of liability for fees accrued for work performed prior to termination nor Contractor's obligations concerning confidential information.

CONFIDENTIALITY

For purposes of this Agreement, Confidential Information means non-public information that is designated as confidential or that reasonably should be understood to be confidential given its nature and the circumstances of disclosure. Each party shall: (a) hold Confidential Information of the other in strict confidence; (b) not disclose such Confidential Information to any third party except as permitted by this Agreement; and (c) use such Confidential Information only to perform its obligations under this Agreement.

Exceptions: Confidential Information does not include information which is (i) publicly known through no fault of the receiving party; (ii) rightfully received from a third party without restriction; or (iii) independently developed without use of or reference to the disclosing party's Confidential Information. Required disclosures by law shall be made only after prompt notice to the disclosing party when legally permissible.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the jurisdiction selected by the parties below without regard to conflict of law principles.

ENTIRE AGREEMENT; MISCELLANEOUS

This Agreement, including all exhibits and schedules attached hereto, constitutes the entire agreement between the parties with respect to its subject matter and supersedes all prior and contemporaneous agreements, proposals, and communications, whether written or oral. No modification of this Agreement is binding unless in writing and signed by both parties.

If any provision of this Agreement is held invalid or unenforceable, the remaining provisions shall remain in full force and effect. Neither party may assign its rights or delegate its obligations under this Agreement without the prior written consent of the other party, except that either party may assign to an affiliate or to a successor in interest in connection with a merger, acquisition or sale of substantially all its assets.

ADDITIONAL TERMS

Contractor shall perform the services as an independent contractor and not as an employee or agent of Client. Contractor is responsible for all taxes and benefits for its personnel.
