Parties and Effective Date

This Agreement is entered into as of / / (the Effective Date), by and between:

Recitals

WHEREAS, Provider operates a private membership association for the delivery of business services and certain member-only programs and benefits (the Association), and Provider offers professional services to its members under membership terms;

WHEREAS, Client desires to become a member of the Association and engage Provider to perform the services described below under the terms and conditions set forth herein; and

WHEREAS, the parties intend by this Agreement to set forth their respective rights and obligations with respect to the services, fees, confidentiality, term and termination, and governing law.

Scope of Work

Provider shall perform the services described in this Section in a professional and timely manner in accordance with industry standards.

Payment Terms

Client shall pay Provider the fees set forth below in consideration for the services and membership privileges. All fees are stated in the currency indicated and exclude applicable taxes unless otherwise specified.

All undisputed amounts not paid when due shall accrue interest at the rate specified above, and Client shall be responsible for reasonable collection costs, including attorneys' fees, arising from late payment.

Term and Termination

The term of this Agreement shall commence on and shall continue until unless earlier terminated in accordance with this Section.

Either party may terminate this Agreement for convenience by providing written notice to the other party at least the number of days specified above. Either party may terminate immediately for material breach that remains uncured for a period of thirty (30) days after written notice of such breach.

Confidentiality

Each party (the Receiving Party) shall keep confidential all non-public information disclosed by the other party (the Disclosing Party) that is designated as confidential or that reasonably should be understood to be confidential given the nature of the information and the circumstances of disclosure ("Confidential Information"). The Receiving Party shall not use Confidential Information for any purpose other than performing under this Agreement and shall restrict disclosure to its representatives on a need-to-know basis who are bound by confidentiality obligations no less protective than those set forth herein.

Confidential Information does not include information that (a) is or becomes generally available to the public other than by breach of this Agreement; (b) was rightfully in the Receiving Party's possession prior to disclosure without restriction; (c) is received from a third party without duty of confidentiality; or (d) is independently developed without use of the Disclosing Party's Confidential Information.

Governing Law and Dispute Resolution

This Agreement shall be governed by and construed in accordance with the laws of the state identified above, without regard to conflict of law principles. The parties shall first attempt in good faith to resolve disputes by negotiation; if unresolved, disputes shall be resolved by the courts located in the governing jurisdiction unless the parties mutually agree to arbitration in writing.

Notices

All notices required or permitted under this Agreement shall be in writing and shall be deemed given when delivered personally, sent by certified mail (return receipt requested), or sent by nationally recognized overnight courier, to the addresses set forth in this Agreement or to such other address as a party may designate by written notice.

Representations; Entire Agreement

Each party represents and warrants that it has full power and authority to enter into this Agreement and to perform its obligations hereunder. The individuals executing this Agreement have been duly authorized to bind the parties they represent.

This Agreement constitutes the entire agreement between the parties with respect to its subject matter and supersedes all prior and contemporaneous understandings, agreements, negotiations and discussions, whether oral or written. Any amendment or modification must be in writing signed by both parties.

Severability; Waiver

If any provision of this Agreement is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect. Failure to enforce any provision shall not constitute a waiver of future enforcement of that or any other provision.
