Recitals

WHEREAS, Issuer is engaged in providing financing and related commercial services and is willing to extend credit to Recipient on the terms set forth herein; and

WHEREAS, Recipient requires funds to support its business operations and agrees to repay the principal and any applicable interest and fees in accordance with the payment provisions below; and

WHEREAS, the parties intend that this instrument constitute a binding agreement specifying the obligations of each party with respect to the extension of funds and any related services provided by Issuer.

Scope of Work

The Issuer agrees to provide financing and ancillary services described below. The Recipient agrees to utilize funds and services solely for the purposes set forth and to cooperate with Issuer in documentation and performance.

Payment Terms

All payments shall be applied first to accrued fees and interest and then to principal. If any payment is not received within the grace period specified in the payment schedule, Recipient shall be obligated to pay the late fee set forth above and interest on overdue amounts at the lesser of (a) the maximum rate permitted by applicable law or (b) the rate agreed in this instrument.

Term and Termination

This Agreement commences on the Start Date and continues until the End Date, unless earlier terminated in accordance with this section.

Either party may terminate this Agreement for material breach if the breaching party fails to cure such breach within the notice period specified above following written notice. Termination shall not relieve Recipient of obligations to pay amounts accrued prior to termination or obligations that by their nature survive termination.

Confidentiality

Each party shall maintain the confidentiality of the other party’s Confidential Information and shall not disclose such information to third parties except (a) as required by law, (b) to its professional advisors under obligations of confidentiality, or (c) with the disclosing party’s prior written consent. Confidential Information excludes information that is publicly known or becomes known other than through breach of this Agreement.

This Agreement and any dispute arising out of or relating to it shall be governed by and construed in accordance with the laws of:

Miscellaneous

Assignment: Neither party may assign its rights or delegate its duties under this Agreement without the prior written consent of the other party, except that Issuer may assign its rights to a financing source. Any attempted assignment in violation of this provision is void.

Amendments: No amendment or waiver of any provision of this Agreement shall be effective unless made in writing and signed by both parties.

Entire Agreement

This Agreement, including any schedules and exhibits attached hereto, constitutes the entire agreement between the parties with respect to its subject matter and supersedes all prior and contemporaneous agreements, understandings, negotiations and discussions, whether oral or written.

Severability: If any provision of this Agreement is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
