BUSINESS PNA TEMPLATE

This Business PNA Template (the "Agreement") is made effective as of Effective Date:

RECITALS

WHEREAS, Client Name is engaged in the business activity described as ;

WHEREAS, Service Provider Name possesses expertise and resources to perform the services described in this Agreement and is willing to provide such services to Client Name under the terms set forth herein;

WHEREAS, the parties desire to set forth their respective rights and obligations regarding the performance of such services and the protection of confidential information disclosed in connection with this engagement.

SCOPE OF WORK

Service Provider shall perform the services and deliverables described below. The description establishes minimum required performance and deliverable specifications.

PAYMENT TERMS

Compensation: Client agrees to pay Service Provider the Total Amount of USD for the services described in this Agreement.

Invoices shall be rendered by Service Provider and are payable within days of receipt unless otherwise agreed in writing. Late payments shall incur interest at the lesser of (a) the rate of % per month or (b) the maximum amount permitted by applicable law.

Client shall be responsible for any applicable taxes, duties, or withholdings, other than taxes based on Service Provider's net income.

TERM AND TERMINATION

Term: This Agreement shall commence on Start Date: and shall continue until End Date: unless earlier terminated in accordance with this Section.

Either party may terminate this Agreement for convenience upon prior written notice of days to the other party. Either party may terminate for cause if the other party materially breaches any obligation under this Agreement and fails to cure such breach within days after receipt of written notice specifying the breach.

Upon termination, Service Provider shall deliver all completed work and reasonable documentation and Client shall pay for all services performed and expenses incurred up to the effective date of termination, subject to any offsets permitted by law.

CONFIDENTIALITY

Definition: "Confidential Information" means non-public information disclosed by one party to the other that is designated as confidential or that reasonably should be understood to be confidential given the nature of the information and the circumstances of disclosure.

Obligations: The receiving party shall (a) hold Confidential Information in strict confidence, (b) not disclose it to any third party except as expressly authorized in writing, and (c) use it only for the purposes of performing under this Agreement. The receiving party shall take reasonable measures to protect Confidential Information from unauthorized use or disclosure.

Exceptions: Confidential Information does not include information that is or becomes publicly available through no fault of the receiving party, was known to the receiving party prior to disclosure, is rightfully received from a third party without restriction, or is independently developed without use of Confidential Information.

Duration: The obligations in this Section shall remain in effect for years following termination or expiration of this Agreement.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to its conflict of law principles.

ENTIRE AGREEMENT

This Agreement, together with any exhibits or attachments expressly incorporated herein, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral.

MISCELLANEOUS

Assignment: Neither party may assign this Agreement without the prior written consent of the other party, except that a party may assign to an affiliate or in connection with a merger, acquisition, or sale of substantially all of its assets.

Severability: If any provision of this Agreement is held to be invalid or unenforceable, such provision shall be struck and the remaining provisions shall remain in full force and effect.

Notices: All notices required or permitted under this Agreement shall be in writing and shall be deemed given when delivered personally, sent by certified mail, return receipt requested, or by nationally recognized overnight courier, to the addresses set forth above or such other address as a party may designate by notice to the other.
