BUSINESS PNWBA TEMPLATE

This Business Agreement (the Agreement) is entered into as of (Effective Date) by and between , with principal place of business at (Client), and , with principal place of business at (Provider).

WHEREAS

WHEREAS, Client wishes to obtain certain professional services and deliverables described herein for the purpose of advancing Client's business operations in the Pacific Northwest region; and

WHEREAS, Provider represents that it has the experience, personnel and resources necessary to perform the services described in this Agreement and is willing to provide those services to Client pursuant to the terms and conditions set forth below.

NOW, THEREFORE, in consideration of the mutual promises, covenants and agreements contained herein, the parties agree as follows:

1. Scope of Work

Provider shall perform the services described above in a professional and workmanlike manner and shall deliver all deliverables in accordance with the milestones and acceptance criteria set forth in the scope of work. Changes to the scope shall be made only by written change order signed by authorized representatives of both parties.

2. Payment Terms

All payments are due in accordance with the payment schedule. Unpaid amounts shall accrue interest at a rate of or a flat late charge of , whichever is greater, from the date due until paid in full. Client shall also be responsible for reasonable collection costs, including attorneys' fees.

Unless otherwise specifically stated, prices do not include taxes; Client shall be responsible for sales, use, excise, and other taxes imposed by governmental authority, excluding taxes imposed on Provider's net income.

3. Term and Termination

This Agreement shall commence on and shall continue until unless earlier terminated in accordance with this Section.

Either party may terminate this Agreement for convenience upon days' prior written notice. Either party may terminate for cause if the other party materially breaches this Agreement and fails to cure such breach within 30 days after receipt of written notice specifying the breach. Upon termination, Client shall pay Provider for services performed and expenses incurred through the effective date of termination.

4. Confidentiality

"Confidential Information" means non-public business, technical and financial information disclosed by one party to the other that is reasonably understood to be confidential. Each party agrees to use Confidential Information solely for performance under this Agreement and to protect it with the same standard of care it uses to protect its own confidential information, but in no event less than reasonable care.

Confidentiality obligations shall continue for a period of years from the date of disclosure, except that trade secrets shall remain protected for so long as they qualify as trade secrets under applicable law. The obligations do not apply to information that is rightfully known prior to disclosure, becomes publicly available through no fault of the recipient, or is rightfully obtained from a third party without confidentiality obligations.

5. Intellectual Property and Work Product

Unless otherwise agreed in writing, Provider retains ownership of pre-existing materials and methodologies. Upon full payment, Provider grants Client a nonexclusive, worldwide license to use deliverables provided under this Agreement solely for Client's internal business purposes. Provider represents that deliverables will not infringe third-party intellectual property rights and will indemnify Client for claims arising from such infringement.

6. Representations; Independent Contractor; Indemnity

Each party represents that it has full power and authority to enter into this Agreement. Provider is an independent contractor and not an employee, partner, or agent of Client. Each party shall indemnify and hold harmless the other party from and against claims, liabilities and expenses arising from its breach of this Agreement, negligence, or willful misconduct.

7. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of , without regard to its conflict of laws principles. The parties submit to the exclusive jurisdiction of the state and federal courts located in that state for any dispute arising out of this Agreement.

8. Entire Agreement; Amendments

This Agreement, including any exhibits or attachments, constitutes the entire agreement between the parties regarding its subject matter and supersedes all prior and contemporaneous agreements, proposals, and communications, whether written or oral. No amendment or modification shall be effective unless made in writing and signed by authorized representatives of both parties.

9. Miscellaneous

If any provision of this Agreement is held unenforceable, the remainder shall remain in full force and effect. Neither party may assign this Agreement without the prior written consent of the other, except to a successor in interest in connection with a merger or sale of all or substantially all of its assets. Notices under this Agreement shall be in writing and delivered to the addresses set forth below or to such other address as a party may designate by written notice.
