WHEREAS

WHEREAS, Company Name: is engaged in the business of providing certain products and services and has authority to enter into this Agreement;

WHEREAS, Counterparty Name: desires to retain Company to perform the services described below on the terms set forth in this Agreement; and

WHEREAS, the Parties intend that this Agreement set forth the full terms and conditions governing their relationship with respect to the services described herein.

Scope of Work

Company shall perform the services, deliverables, and responsibilities described below in accordance with the terms of this Agreement. The Parties acknowledge that such scope may be amended only by written agreement signed by authorized representatives of both Parties.

Payment Terms

Total Compensation: $ payable in accordance with the schedule below. Payments shall be made in United States Dollars unless otherwise agreed in writing.

Late Payment: Any amount not paid when due shall accrue interest at the lesser of (a) % per month or (b) the maximum rate permitted by applicable law. In addition, a one-time administrative late fee of $ may be charged for each delinquent invoice.

Taxes and Withholding: Unless otherwise stated, the quoted price does not include taxes. Each Party shall be responsible for taxes as required by law.

Either Party may terminate this Agreement for convenience upon written notice to the other Party at least days prior to the intended termination date. Termination for material breach shall be effective upon written notice if the breaching Party fails to cure the breach within thirty (30) days of receiving written notice of such breach, unless a shorter or longer cure period is expressly provided herein.

Confidentiality

Each Party (the "Receiving Party") acknowledges that in connection with the performance of this Agreement it may receive confidential, proprietary, or trade secret information (collectively, "Confidential Information") of the other Party (the "Disclosing Party"). The Receiving Party shall: (a) hold Confidential Information in strict confidence; (b) not disclose Confidential Information to any third party except as required to perform this Agreement or as required by law; and (c) not use Confidential Information for any purpose other than the performance of this Agreement.

Confidential Information does not include information that: (i) is or becomes generally available to the public through no wrongful act of the Receiving Party; (ii) was known to the Receiving Party prior to disclosure as evidenced by written records; (iii) is independently developed by the Receiving Party without use of the Disclosing Party's Confidential Information; or (iv) is rightfully received from a third party without restriction.

The confidentiality obligations shall survive termination or expiration of this Agreement for a period of years.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of , without regard to conflict of law principles. The Parties submit to the exclusive jurisdiction of the state and federal courts located in that State for resolution of disputes arising under this Agreement.

Entire Agreement

This Agreement, together with any exhibits or schedules attached hereto and any written amendments executed by both Parties, constitutes the entire agreement between the Parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, representations, and understandings, whether written or oral. No amendment or waiver shall be effective unless in writing and signed by authorized representatives of both Parties.

Miscellaneous

Assignment: Neither Party may assign its rights or delegate its obligations under this Agreement without the prior written consent of the other Party, except that Company may assign to an affiliate or in connection with a sale of substantially all of its business or assets.

Notices: All notices required or permitted under this Agreement shall be in writing and delivered to the addresses set forth above or to such other address as either Party designates in writing.
