Either party may terminate this agreement for convenience by providing written notice at least days prior to the intended termination date. Termination for cause may be immediate upon material breach if the breaching party fails to cure within a reasonable period not to exceed 10 days after written notice of breach.

Confidentiality

Each party acknowledges that it may receive Confidential Information of the other. "Confidential Information" means non-public information that is designated as confidential or that reasonably should be understood to be confidential given the nature of the information and the circumstances of disclosure. Recipient shall: (a) use Confidential Information solely for performance under this agreement; (b) protect Confidential Information with at least the same degree of care it uses to protect its own confidential information; and (c) not disclose Confidential Information to any third party except to employees, contractors or agents who have a need to know and who are bound by confidentiality obligations no less protective than these. Confidential Information does not include information that (i) is or becomes publicly available other than by breach of this agreement; (ii) is rightfully received from a third party without restriction; or (iii) is independently developed without use of the other party's Confidential Information.

Waiver, Release, and Indemnification

Waiver and Release: To the fullest extent permitted by law, Client hereby releases, waives and discharges Business, its owners, officers, employees, contractors and agents from any and all claims, demands, liabilities, costs and expenses (including reasonable attorneys' fees) arising out of or related to Client's participation in the activities or receipt of services described in the Scope of Work, except to the extent caused by Business's gross negligence or willful misconduct.

Assumption of Risk: Client acknowledges that participation in the services or activities may involve inherent risks, including but not limited to personal injury, property damage, or economic loss, and Client voluntarily assumes all such risks.

Indemnification: Client shall indemnify, defend and hold harmless Business from and against any and all third-party claims, liabilities, losses, damages, costs and expenses (including reasonable attorneys' fees) arising out of Client's breach of this agreement, negligence, willful misconduct, or violation of applicable law.
