AGREEMENT BETWEEN PARTIES

Recitals

WHEREAS, is engaged in the business of providing certain services and has established policies governing performance and conduct; and

WHEREAS, wishes to receive such services and agrees to abide by the business policies set forth herein; and

NOW, THEREFORE, in consideration of the mutual covenants contained in this Agreement and other good and valuable consideration, the receipt and sufficiency of which are acknowledged, the parties agree as follows.

The recipient shall pay Provider the sum set forth below in United States dollars in accordance with the schedule specified. All payments are due in cleared funds and are non-refundable except as expressly provided in this Agreement.

Fees that remain unpaid for more than days from the invoice date will incur the Late Payment Fee and may result in suspension of services until payment is made. The non-prevailing party shall reimburse the prevailing party for reasonable collection and attorney fees.

Term and Termination

This Agreement is effective as of Effective Date: and shall continue until End Date: unless earlier terminated in accordance with this section.

Either party may terminate this Agreement for material breach if the breaching party fails to cure such breach within Notice Period: days after receipt of written notice. Provider may suspend services immediately upon nonpayment.

Confidentiality

Each party shall maintain the confidentiality of Confidential Information disclosed by the other party and shall not disclose such information except as required by law or with the disclosing party's prior written consent. "Confidential Information" includes business policies, pricing, customer lists, technical data, and any other non-public information designated as confidential or that reasonably should be understood to be confidential. The obligations of confidentiality survive termination for a period of three (3) years.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to its conflict of law principles. The parties consent to the exclusive jurisdiction of the state and federal courts located in that state for any dispute arising under this Agreement.

Entire Agreement

This Agreement, together with any attachments, schedules, and the policies incorporated by reference in the Message Body, constitutes the entire agreement between the parties relating to the subject matter hereof and supersedes all prior and contemporaneous agreements, representations, and understandings, whether oral or written. No amendment shall be effective unless in writing and signed by authorized representatives of both parties.
