PAYMENT TERMS

When the policies impose fee-based obligations or when the Recipient provides services subject to payment, the following payment terms apply.

Any undisputed late payments shall incur the Late Payment Fee specified above and interest at the maximum legal rate permitted, calculated monthly until paid in full. The Company may suspend rights or access until payment is brought current.

TERM AND TERMINATION

This Agreement commences on Start Date: and continues until End Date: unless earlier terminated as provided below.

Either party may terminate this Agreement for convenience upon delivery of written notice in accordance with the Notice Period above. The Company may terminate immediately for cause, including material breach, willful misconduct, criminal activity, or violation of safety or confidentiality obligations.

CONFIDENTIALITY

"Confidential Information" means non-public information disclosed by the Company to the Recipient that is identified as confidential or that reasonably should be understood to be confidential. The Recipient shall (a) use Confidential Information solely for performance of obligations under this Agreement; (b) restrict disclosure to its employees or contractors having a need to know and subject to obligations of confidentiality; and (c) take commercially reasonable measures to protect Confidential Information. Confidential Information does not include information that is or becomes publicly available through no fault of the Recipient, or is rightfully received from a third party without breach of an obligation of confidentiality.

Upon termination or upon the Company's written request, the Recipient shall promptly return or certify destruction of Confidential Information, except to the extent retention is required by law, in which case retained information shall remain subject to the confidentiality obligations herein.

INTELLECTUAL PROPERTY

All intellectual property developed by the Recipient specifically for the Company pursuant to the Scope of Work shall be the exclusive property of the Company. The Recipient hereby assigns and agrees to assign all right, title and interest in such work product and will execute documents reasonably necessary to effectuate such assignment.

COMPLIANCE AND ENFORCEMENT

The Recipient agrees to comply with all applicable laws, regulations, and Company rules related to the policies incorporated herein. Violations may result in disciplinary action, up to and including termination of any affiliation with the Company and recovery of damages.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of , without regard to its conflict of laws principles.

ENTIRE AGREEMENT; AMENDMENT

This Agreement, together with any attachments and incorporated policies expressly identified, constitutes the entire agreement between the parties with respect to the subject matter and supersedes all prior understandings. No amendment shall be effective unless in writing and signed by both parties.

By signing below, the Recipient acknowledges receipt of the policies incorporated into this Agreement, represents that they have read and understand the policies, and agrees to comply with them as a condition of their relationship with the Company.
