BUSINESS POLICY ACCEPTANCE

This Business Policy Acceptance Agreement (the Agreement) is entered into between (Company) and (Recipient).

WHEREAS

WHEREAS, the Company has established certain written policies, procedures, and standards governing conduct, data handling, confidentiality, and operational practices identified as , effective (Effective Date); and

WHEREAS, Recipient is required, as a condition of engagement with the Company, to acknowledge receipt of and agree to comply with the Policy and related Company directives, including obligations concerning confidentiality, return of Company property, and compliance monitoring.

SCOPE OF WORK

The Policy applies to Recipient's interactions with the Company and governs Recipient obligations in connection with services, access to Company systems, handling of Company information, and conduct while on Company premises or while performing Company business. PAYMENT TERMS

If the Policy requires training, certification, or other Company-provided services that incur fees, the following payment terms apply. Recipient acknowledges responsibility as set forth below.

TERM AND TERMINATION

This Agreement is effective as of the Effective Date and shall continue in effect through the End Date below, unless earlier terminated as provided herein.

Either party may terminate this Agreement for material breach by the other party that remains uncured for the notice period above. Termination does not relieve Recipient of post-termination obligations, including confidentiality and return of Company property.

CONFIDENTIALITY

Recipient shall maintain in strict confidence all non-public information and trade secrets of the Company, whether oral, written, or electronic, that are designated confidential or which a reasonable person would understand to be confidential under the circumstances. Recipient shall not disclose such information except to those agents or representatives who have a need to know and are bound by confidentiality obligations at least as restrictive as those set forth herein.

Recipient's obligations shall survive termination of this Agreement for a period of years, or as long as the information remains confidential under applicable law, whichever is longer.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the state or jurisdiction of without regard to its conflict of laws principles. The parties submit to the exclusive jurisdiction of the courts located in that jurisdiction for disputes arising under this Agreement.

ENTIRE AGREEMENT

This Agreement, together with any referenced policies and attachments expressly incorporated by reference, constitutes the entire agreement between the parties with respect to its subject matter and supersedes all prior and contemporaneous agreements, understandings, and communications, whether written or oral. Any amendment or waiver must be in writing and signed by authorized representatives of both parties.
