Business Policy Agreement

This Business Policy Agreement (the "Agreement") is entered into by and between Company Name: and Counterparty Name: . Effective Date:

Recitals

WHEREAS, Company develops, maintains, and enforces written business policies and procedural standards intended to govern operations, compliance, and internal controls; and

WHEREAS, Counterparty seeks to adopt, implement, or otherwise be bound by the policies and procedures described in this Agreement and to receive related services described herein; and

WHEREAS, the parties desire to set forth the scope, payment, confidentiality, and other terms by which Company will supply policy documentation, training, and support to Counterparty.

Scope of Work

Company will provide the following services and deliverables, in accordance with the terms of this Agreement:

Payment Terms

Fees payable by Counterparty to Company for the Scope of Work shall be as follows.

If any undisputed amount is not paid within days of the due date, interest shall accrue at the lesser of (i) the rate of percent per month, or (ii) the maximum rate permitted by applicable law. In addition, Company may suspend services for invoices more than days overdue.

Term and Termination

Term: This Agreement shall commence on Start Date: and shall continue until End Date: unless earlier terminated as provided below.

Termination for Convenience: Either party may terminate this Agreement for convenience upon providing the other party with days' prior written notice.

Termination for Cause: Either party may terminate immediately upon written notice if the other party materially breaches any obligation under this Agreement and fails to cure such breach within thirty (30) days after receipt of written notice specifying the breach.

Confidentiality

"Confidential Information" means non-public information disclosed by one party ("Disclosing Party") to the other ("Receiving Party") that is designated as confidential or that reasonably should be understood to be confidential given the nature of the information and the circumstances of disclosure. Confidential Information includes, without limitation, policy drafts, internal controls, financial information, and customer or employee data.

The Receiving Party shall (i) hold Confidential Information in strict confidence using at least the same degree of care it uses to protect its own confidential information, but not less than reasonable care; (ii) use Confidential Information solely to perform its obligations under this Agreement; and (iii) not disclose Confidential Information to any third party except to its employees, contractors, or advisors who have a need to know and who are bound by confidentiality obligations no less restrictive than those herein. This obligation shall survive termination of this Agreement for a period of years, provided that trade secrets are protected for as long as they remain trade secrets under applicable law.

Exclusions: Confidential Information does not include information that (a) is or becomes generally known to the public other than as a result of a breach of this Agreement by the Receiving Party; (b) was lawfully in the Receiving Party's possession prior to disclosure; (c) is lawfully received from a third party without restriction; or (d) is independently developed by the Receiving Party without use of or reference to the Disclosing Party's Confidential Information.

Compliance and Policies

Each party shall comply with all applicable laws, regulations, and industry standards in connection with performance under this Agreement. Company’s documented policy templates and training materials are provided "as is" and Counterparty assumes responsibility for final policy adoption, local customization, and regulatory compliance specific to Counterparty's operations.

Counterparty acknowledges receipt of the policies set forth in the Scope of Work and agrees to implement and enforce them in accordance with this Agreement.

Governing Law; Dispute Resolution

This Agreement shall be governed by and construed in accordance with the laws of the State of , without regard to conflict of laws principles. The parties shall first attempt in good faith to resolve disputes through negotiation. If unresolved, disputes shall be resolved by the courts located in the county of the governing state selected above.

Entire Agreement; Amendment

This Agreement, including any schedules and attachments incorporated herein, constitutes the entire agreement between the parties with respect to its subject matter and supersedes all prior and contemporaneous understandings, proposals, and agreements, whether written or oral. No amendment or modification of this Agreement shall be effective unless in writing and signed by authorized representatives of both parties.

Miscellaneous

Assignment: Neither party may assign this Agreement or any rights hereunder without the prior written consent of the other party, except that Company may assign this Agreement in connection with a sale of substantially all of its assets. Notices: All notices required or permitted under this Agreement shall be in writing and delivered to the addresses set forth above.
