BUSINESS POLICY INFORMATION

RECITALS

WHEREAS, Client Name: is engaged in the operation of its business and requires formal policy documentation and implementation services to ensure compliance and consistent governance; and

WHEREAS, Provider Name: has represented that it possesses the expertise and personnel necessary to prepare, implement, and advise on such business policies; and

NOW, THEREFORE, in consideration of the mutual covenants set forth herein, the parties agree as follows.

SCOPE OF WORK

Provider shall perform the following services to develop, document, and assist in implementation of the Client's business policy identified below. The scope includes drafting policy language, procedures, staff roles, training materials, and a compliance reporting template unless modified by written agreement of the parties.

PAYMENT TERMS

Client agrees to pay Provider for the services described above in accordance with the following terms.

Any undisputed amount not paid when due shall accrue interest at the lesser of 1.5% per month or the maximum rate permitted by law, from the due date until paid. Client shall also be responsible for reasonable collection costs and attorney fees incurred by Provider to recover overdue amounts.

TERM AND TERMINATION

This Agreement shall commence on Effective Date: and shall continue until End Date as set forth below, unless earlier terminated as provided herein.

CONFIDENTIALITY

Each party shall hold in strict confidence all Confidential Information disclosed by the other party. "Confidential Information" includes nonpublic business, technical, financial, personnel, policy documents, drafts, compliance reports and any information marked or reasonably understood to be confidential. Confidential Information shall not include information that (i) is or becomes generally available to the public through no fault of the receiving party, (ii) was known to the receiving party prior to disclosure as evidenced by written records, (iii) is lawfully obtained from a third party without restriction, or (iv) is independently developed by the receiving party.

The receiving party shall use Confidential Information only to perform its obligations under this Agreement, shall restrict access to those employees and contractors who have a need to know, and shall take reasonable measures to prevent unauthorized disclosure. Upon termination, receiving party shall return or certify destruction of Confidential Information, except as required to retain a single archival copy for legal or regulatory purposes.

This Agreement and any dispute arising out of or relating to this Agreement shall be governed by and construed in accordance with the laws of the State of without regard to choice-of-law principles that would apply the law of another jurisdiction.

This Agreement, together with any attachments, exhibits and approved policy documents explicitly incorporated herein, constitutes the entire agreement between the parties with respect to its subject matter and supersedes all prior and contemporaneous agreements, understandings, negotiations and discussions, whether oral or written. No amendment or modification to this Agreement shall be binding unless reduced to writing and signed by authorized representatives of both parties.

MISCELLANEOUS PROVISIONS

Any notices required or permitted under this Agreement shall be in writing and delivered to the addresses below by personal delivery, certified mail, or reputable overnight courier. The invalidity or unenforceability of any particular provision of this Agreement shall not affect the remaining provisions, which shall remain in full force and effect. The parties agree to attempt in good faith to resolve disputes through negotiation prior to initiating formal legal proceedings.
