Either party may terminate application of this Manual to a specific relationship or engagement upon written notice in accordance with the notice period above. Termination shall not relieve any party of obligations accrued prior to termination, including confidentiality and indemnity obligations.

CONFIDENTIALITY

Confidential Information means nonpublic information disclosed by the Company that is designated confidential or that a reasonable person would understand to be confidential. Recipients must: (a) use Confidential Information only for authorized business purposes; (b) limit disclosure to persons with a need to know; and (c) protect Confidential Information with at least the same degree of care used to protect their own confidential information, but not less than reasonable care.

Exceptions: Confidential Information does not include information that is: (i) publicly known through no fault of the recipient; (ii) rightfully received from a third party without duty of confidentiality; (iii) independently developed without use of the discloser's Confidential Information; or (iv) required to be disclosed by law, provided prompt notice is given where lawful and practicable.

Access to corporate systems shall be governed by issued credentials and role-based permissions. Users must protect credentials, promptly report incidents, and comply with records retention schedules and applicable privacy requirements described below.

The Company shall maintain a safe workplace and comply with applicable occupational safety requirements. Employees must follow safety procedures, report hazards, and cooperate in investigations of incidents.

DISCIPLINARY PROCEDURES

Violations of this Manual may result in corrective action up to and including termination. The Company retains discretion to determine appropriate discipline based on the nature and severity of the violation.

AMENDMENT; ENTIRE AGREEMENT

This Manual may be amended by the Company from time to time. Amendments shall be effective when communicated in writing to applicable personnel. This Manual, together with any referenced policies, constitutes the entire agreement between the Company and personnel concerning the subject matter herein and supersedes all prior manuals, policies and understandings, whether written or oral, to the extent they address the same subjects.
