BUSINESS POP DOCUMENT

This Business Proof of Performance Agreement (the Agreement) is entered into by and between Client Name: and Service Provider Name: (each a Party, collectively the Parties), effective as of Effective Date: .

RECITALS

WHEREAS, the Service Provider is engaged in the business of providing the services described below and possesses the necessary expertise and resources to perform such services; and

WHEREAS, the Client desires to engage the Service Provider to perform services and to establish procedures for documenting Proof of Performance (POP) demonstrating delivery and acceptance of specified deliverables under the terms set forth in this Agreement; and

WHEREAS, the Parties intend that the written records, reports, and acceptance acknowledgments provided under this Agreement shall constitute conclusive POP for invoicing and payment purposes unless specifically disputed in writing in accordance with the dispute resolution provision below.

SCOPE OF WORK

The Service Provider shall prepare and deliver Proof of Performance records for each deliverable, which shall include, at minimum, a dated report of services rendered, time or quantity metrics where applicable, photographs or screenshots when relevant, and an authorized acceptance statement from the Client. Proof of Performance shall be delivered in the manner and frequency set forth in the Payment Terms below.

PAYMENT TERMS

Payment shall be due within days of receipt of a properly documented invoice and associated Proof of Performance. Invoices not accompanied by the required POP documentation may be withheld until proper documentation is submitted.

TERM AND TERMINATION

This Agreement shall commence on Start Date: and shall continue until End Date: unless earlier terminated in accordance with this Agreement.

Either Party may terminate this Agreement for material breach by the other Party if such breach remains uncured for the notice period specified above, provided that termination shall not relieve the Client of its obligation to pay for POP-verified work completed prior to termination.

CONFIDENTIALITY

Each Party shall keep confidential all non-public information disclosed by the other Party in connection with this Agreement, including POP documentation, reports, pricing, and business processes, and shall not disclose such information except to employees, contractors, or advisors who have a need to know and who are bound by confidentiality obligations no less protective than those contained herein. Confidential information shall be held in confidence for Confidentiality Period (years): from the date of disclosure.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to conflicts of law principles.

ENTIRE AGREEMENT

This Agreement, including all POP records, exhibits, and attachments executed by the Parties, constitutes the entire agreement between the Parties with respect to its subject matter and supersedes all prior discussions, proposals, and agreements, whether written or oral. Any amendment or modification must be in writing and signed by authorized representatives of both Parties.

NOTICES

PROOF OF PERFORMANCE ACCEPTANCE

The Client shall review each POP submission within business days of receipt. If no written dispute is submitted within that period, the POP shall be deemed accepted for the purposes of invoicing and payment.

MISCELLANEOUS

Neither Party may assign its rights or delegate its duties under this Agreement without the prior written consent of the other Party, except that either Party may assign this Agreement in connection with a merger or sale of substantially all of its assets. The Parties agree that damages at law may be inadequate to protect Confidential Information and that injunctive relief may be sought in addition to other remedies.
