WHEREAS

WHEREAS, Company operates a porch-related business that provides inspection, maintenance, enhancement and commercial use coordination services for exterior porch areas and adjacent premises; and

WHEREAS, Porch Owner owns the porch and adjacent property described in this Agreement and desires to engage Company to perform the scope of work set forth below under the terms and conditions established herein; and

NOW, THEREFORE, in consideration of the mutual covenants and agreements contained herein and other good and valuable consideration, the receipt and sufficiency of which are acknowledged, the parties agree as follows:

SCOPE OF WORK

Company shall perform the following services in a professional and workmanlike manner consistent with industry standards. The parties may only modify the scope in writing signed by both parties.

PAYMENT TERMS

Compensation for the Scope of Work shall be as follows. All amounts are expressed in U.S. dollars unless otherwise specified.

All invoices are due as specified in the Payment Schedule. If Porch Owner fails to pay undisputed amounts when due, Company may suspend performance after providing five (5) days written notice of intent to suspend. Porch Owner shall be responsible for reasonable costs of collection, including attorneys' fees.

TERM AND TERMINATION

This Agreement shall commence on the Effective Date and remain in effect until completion of the Scope of Work or until the End Date specified below, unless earlier terminated as provided in this section.

Either party may terminate this Agreement for material breach by the other party if the breaching party fails to cure such breach within the notice period specified above. Termination shall not relieve either party of obligations accrued prior to termination, including payment for services performed.

CONFIDENTIALITY

Each party acknowledges that during the performance of this Agreement it may receive Confidential Information of the other party. "Confidential Information" means non-public information disclosed in any form that is designated as confidential or that reasonably should be understood to be confidential.

Each party agrees (a) to hold Confidential Information in strict confidence, (b) not to use Confidential Information for any purpose other than performance under this Agreement, and (c) not to disclose Confidential Information to any third party except to employees, contractors or advisors who have a need to know and who are bound by obligations of confidentiality at least as restrictive as those herein. Confidentiality obligations do not apply to information that: (i) is or becomes publicly known through no fault of the receiving party; (ii) was rightfully known to the receiving party prior to disclosure; (iii) is disclosed by a third party without restriction; or (iv) is independently developed by the receiving party without use of Confidential Information.

Upon termination or at the disclosing party's request, the receiving party shall promptly return or certify destruction of Confidential Information except to the extent retention is required by law, in which case it shall remain subject to the confidentiality obligations herein for the statutory retention period.

NOTICES

All notices required or permitted under this Agreement shall be in writing and delivered to the addresses set forth above or to such other address as a party may designate in writing. Notices shall be deemed given upon delivery if delivered personally, by confirmed electronic transmission, or three (3) business days after deposit with a nationally recognized overnight courier.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of , without regard to its conflict of law principles. The parties submit to the exclusive jurisdiction of the state and federal courts located in that state for any dispute arising under this Agreement.

MISCELLANEOUS

Assignment: Neither party may assign its rights or delegate its obligations under this Agreement without the other party's prior written consent, except that Company may assign to an affiliate or in connection with a sale of substantially all of its assets.

Indemnification: Each party shall indemnify, defend and hold the other harmless from and against any third-party claims arising from the indemnifying party's gross negligence or willful misconduct in performing its obligations under this Agreement.

Severability: If any provision of this Agreement is held invalid or unenforceable by a court of competent jurisdiction, the remaining provisions will remain in full force and effect.

ENTIRE AGREEMENT

This Agreement, together with any exhibits or attachments expressly incorporated herein, constitutes the entire agreement between the parties with respect to the subject matter and supersedes all prior and contemporaneous agreements, understandings, negotiations and discussions, whether oral or written. Any amendment or modification must be in writing and signed by authorized representatives of both parties.
