BUSINESS PORTFOLIO ADDENDUM

This Business Portfolio Addendum (the Addendum) is made effective as of by and between Client Name: and Service Provider Name: .

WHEREAS

NOW, THEREFORE, in consideration of the mutual covenants and agreements contained in this Addendum and other good and valuable consideration, the sufficiency of which is acknowledged, the parties agree as follows:

3. PAYMENT TERMS

If payment is not received within days after the due date, a late fee of per month (or the maximum permitted by law) shall accrue on the outstanding balance.

4. TERM AND TERMINATION

This Addendum commences on and shall continue until unless earlier terminated in accordance with this section.

Either party may terminate this Addendum for convenience upon days' prior written notice to the other party. Termination for cause may be effected immediately for material breach which remains uncured for a period of thirty (30) days after written notice specifying the breach.

5. CONFIDENTIALITY

Each party shall hold in strict confidence all nonpublic business, financial and technical information, portfolio materials, client lists, trade secrets and other information disclosed pursuant to this Addendum that is designated as confidential or, by its nature, would reasonably be considered confidential ("Confidential Information"). Confidential Information shall not include information that (a) was known to the receiving party prior to disclosure without obligation of confidentiality, (b) is or becomes publicly available through no fault of the receiving party, (c) is rightfully received from a third party without restriction, or (d) is independently developed without access to the disclosing party's Confidential Information.

The receiving party will use Confidential Information solely for the performance of obligations under this Addendum and will not disclose it to any third party except as required by law, regulatory authority, or pursuant to a valid subpoena, provided that the receiving party gives prompt notice to the disclosing party and cooperates in any legally available effort to limit disclosure.

6. REPRESENTATIONS AND WARRANTIES

Each party represents and warrants that it has full right, power and authority to enter into this Addendum and to perform its obligations hereunder. The Service Provider represents that it has the right to grant any licenses or rights described herein and that, to the best of its knowledge, the portfolio items do not infringe third-party intellectual property rights.

7. INDEMNITY

Each party shall indemnify, defend and hold harmless the other party from and against any losses, damages, liabilities, costs and expenses (including reasonable attorneys' fees) arising out of any third-party claim resulting from the indemnifying party's breach of this Addendum, negligent acts, or willful misconduct.

8. GOVERNING LAW

This Addendum shall be governed by and construed in accordance with the laws of the State of without regard to its conflict of laws principles.

9. ENTIRE AGREEMENT

This Addendum, together with the Agreement, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous negotiations, understandings and agreements, whether written or oral, relating to such subject matter. Except as expressly amended herein, the Agreement shall remain in full force and effect.

10. MISCELLANEOUS

No waiver or amendment of any provision of this Addendum will be effective unless in writing and signed by the party against whom enforcement is sought. If any provision of this Addendum is held to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.
