What a Business Portion Agreement Is

A Business Portion Agreement documents the allocation, sale, transfer, or assignment of a defined portion of an existing business between parties. It sets the percentage or units transferred, describes consideration, and establishes rights and obligations after transfer. Typical uses include partial ownership sales, membership interest reallocations, and amendments to ownership schedules. The agreement helps prevent future disputes by recording effective dates, voting and profit-sharing changes, and any restrictions or buy‑back terms that apply to the transferred portion.

Why this agreement matters for owners and stakeholders

A clear Business Portion Agreement reduces uncertainty about who controls what, clarifies tax and profit allocations, and documents conditions that trigger future transfers or buybacks. It supports corporate governance, investor relations, and lender review while preserving the parties’ negotiated terms under U.S. contract and electronic signature laws.

Why this agreement matters for owners and stakeholders

Who typically completes a Business Portion Agreement

The agreement is used by owners, business managers, and professionals when ownership percentages change or are formally documented.

  • Minority and majority owners updating equity splits or profit shares for clarity and internal records.
  • Buyers and sellers documenting partial transfers, consideration, and post-transfer governance obligations.
  • Corporate counsel, CPAs, or transaction attorneys preparing or reviewing language and tax consequences.

Use advisers (attorneys, accountants) for tax and governance review before final execution to reduce legal and tax risk.
