WHEREAS, the parties desire to record the scope of the position paper, the work to be performed, payment terms, confidentiality obligations and other terms applicable to preparation and delivery of the position paper addressing:

NOW, THEREFORE, in consideration of the mutual covenants and promises set forth below, the parties agree as follows.

CONFIDENTIALITY

The parties acknowledge that the position paper and any associated materials may contain confidential, proprietary or trade secret information (Confidential Information). The recipient shall: (a) hold Confidential Information in strict confidence; (b) not disclose Confidential Information to any third party except as expressly authorized in writing; and (c) use Confidential Information solely for purposes of evaluating and implementing the recommendations set forth in the position paper. Confidential Information does not include information that is or becomes publicly available through no fault of the recipient, is independently developed by the recipient without use of the disclosing party's Confidential Information, or is rightfully received from a third party without breach of an obligation of confidentiality.

GOVERNING LAW

This Agreement and any dispute arising out of or relating to it shall be governed by and construed in accordance with the laws of the jurisdiction specified below, without regard to conflict of law principles.

ENTIRE AGREEMENT

This document, together with any exhibits or attachments expressly incorporated herein, constitutes the entire agreement between the parties concerning the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals, representations and communications, whether written or oral. Any amendment or modification must be in writing and signed by authorized representatives of both parties.

ADDITIONAL PROVISIONS

Severability: If any provision of this Agreement is held unenforceable, the remainder shall remain in full force and effect. Remedies: The parties acknowledge that monetary damages may be insufficient remedy for certain breaches and agree that equitable relief, including injunctive relief, shall be available in addition to any other remedies.
