What a Business Posting Agreement Covers

A Business Posting Agreement documents the terms under which a business places notices, advertisements, or public postings on property, premises, or digital channels controlled by a second party. Typical uses include tenant notice postings, on-site job or safety notices, permit or trade posting permissions, and online distribution authorizations. The agreement defines the posting location, duration, content restrictions, removal process, indemnities, and any fees or revenue sharing. It also sets the governing law and dispute resolution method to make enforcement and compliance clear between the parties.

Why a Clear Posting Agreement Matters

A written Business Posting Agreement clarifies rights and responsibilities, reduces disputes about content or duration, and protects property owners from liability. It establishes consent and record evidence that postings were permitted, which is important for regulatory compliance and enforcement.

Why a Clear Posting Agreement Matters

Who Typically Prepares and Signs This Agreement

Several parties commonly use and complete Business Posting Agreements depending on the use case and industry.

  • Property owners and managers responsible for consent, location control, and removal timelines.
  • Advertisers, vendors, and service providers arranging placement, content approval, and payment terms.
  • HR or safety teams posting workplace notices, OSHA postings, or union communications.

Identify the appropriate signatory (owner, authorized manager, or corporate officer) before finalizing the document to avoid execution and enforcement issues.

Core Elements to Include in a Professional Agreement

A robust Business Posting Agreement covers operational, legal, and administrative items so both parties understand scope and risk.

Posting Location

Precise description of where the posting may appear, including building, unit, or URL and any dimensional limits or display conditions.

Duration

Start and end dates, automatic removal triggers, renewal options, and procedures for early termination or removal of content.

Content Approval

Approval workflow for posted material, prohibited content categories, and timeframe for owner review or rejection of content.

Fees & Payment

Amount, invoicing schedule, responsibility for installation or removal costs, and any revenue sharing or penalties for late payment.

Liability

Indemnity clauses, insurance requirements, and limitations of liability for damage, defacement, or third-party claims.

Governing Law

State choice-of-law provision, venue for disputes, and any arbitration or small-claims procedures.

Step-by-Step: Completing a Business Posting Agreement

Follow these sequential steps to prepare, review, and execute the agreement correctly and consistently.

  • 01
Gather details: Collect party names, posting specs, and dates before drafting.
  • 02
Draft terms: Include duration, location, content rules, compensation, and liability language.
  • 03
Review legally: Confirm insurance, indemnities, and governing law with counsel if needed.
  • 04
Execute: Obtain authorized signatures and distribute final fully executed copies to all parties.

How to Configure a Digital Signing Workflow

Set up the signing flow to match approval and authentication needs before sending for signatures.

Field Configuration
Signer Order Sequential or parallel routing depending on required approvals.
Authentication Level Email-only, SMS code, or identity verification for higher-risk postings.
Conditional Fields Show or hide fields based on prior answers to reduce errors.
Audit Trail Enable full timestamped logs for legal evidence of execution.

Digital Signing and eSubmission Considerations

Choose eSignature settings that meet evidence, authentication, and retention requirements for your jurisdiction and industry.

  • Document Formats: Use PDF or DOCX to preserve layout and enable secure signatures.
  • Integrations: Connect to systems like Salesforce or NetSuite for automated routing and storage.
  • Security: Enable TLS 1.2/1.3 in transit and AES-256 at rest for protected records.

Ensure the chosen platform supports audit trails, required authentication, and long-term export to comply with retention rules.

Where to Send or File the Completed Agreement

Decide routing depending on whether the posting is physical, digital, or regulated; follow agency or corporate filing rules.

  • Owner Records: Keep a signed copy in the property owner's central contract repository.
  • Vendor Files: Vendor or advertiser retains an executed copy for tax and invoicing purposes.
  • Regulatory Filing: If postings relate to permits, file with the issuing municipal or state agency.
  • Public Display: Place a signed posting at the location and record the install date.

Key Timeframes and Processing Expectations

Track dates that affect posting rights, enforcement, and statutory obligations so obligations do not lapse.

Start and End Dates:

Clearly state MM/DD/YYYY for both activation and removal deadlines.

Approval Windows:

Allow specific days for owner review before posting begins.

Removal Notice:

Define required notice period for early removal or content changes.

Archiving:

Record execution date for retention triggers and legal holds.

Renewal Deadlines:

Specify renewal notice windows and automatic renewal rules if any.

Typical Processing Milestones

A sequential milestone view helps teams track preparation, approval, display, and closeout steps for a posting engagement.

01

Request Submitted

Advertiser provides content, location, and requested schedule for review.

02

Owner Approval

Owner reviews and approves content or requests edits.

03

Execution and Placement

04

Removal and Reconciliation

Common Mistakes to Avoid

  • Using imprecise location descriptions that lead to disputes about where a posting was allowed or prohibited.
  • Failing to document approval for content changes, which can void indemnity protections and cause removal disputes.
  • Providing an unsigned or partially executed agreement to installers or vendors, leaving no enforceable record of permission.
  • Not matching signatory authority to corporate records, creating challenges when verifying the signer was authorized to bind the entity.

Potential Risks and Consequences

Contract Voidance: Enforceability risk
Removal Costs: Out-of-pocket expenses
Third-Party Claims: Liability exposure
Regulatory Fines: Permit or posting violations
Reputational Harm: Public complaints
Data Risks: Improper storage of signed records
