What a Business Potency Agreement Is and when it matters

A Business Potency Agreement is a formal written instrument that records a company’s or representative’s legal capacity and authority to act for the business in specified transactions. Typical uses include confirming an officer’s power to execute contracts, appointing agents or attorneys-in-fact, and documenting limits on delegated authority. The agreement clarifies who may bind the business, the scope and duration of authority, and any required approvals or conditions that make actions valid and enforceable.

Why organizations adopt a Business Potency Agreement

The agreement reduces transaction risk by proving authority, preventing unauthorized commitments, and providing a clear record for banks, counterparties, regulators, and courts. It also streamlines due diligence and supports enforceability when paired with proper signatures and retention practices under ESIGN and UETA.

Why organizations adopt a Business Potency Agreement

Who typically prepares and signs this agreement

Profiles below describe common parties who prepare, approve, or sign a Business Potency Agreement.

  • Corporate officers and board secretaries responsible for governance and delegation; they establish authority limits and confirm corporate approval.
  • Banking and finance teams that require formal evidence of signatory authority before opening accounts or processing transactions.
  • External agents, counsel, or contractors who need documented power for specific tasks, such as filings or negotiations.

Use these profiles to determine who should review, sign, or witness the agreement within your organization to avoid downstream disputes.

Key signatory roles

CEO / Authorized Officer

Chief executives or other officers sign to confirm corporate capacity and binding authority. Their signature is supported by corporate resolutions or bylaws and must match the legal entity name exactly to avoid challenges.

Agent / Attorney-in-Fact

An appointed agent or attorney-in-fact executes actions within the document’s stated scope. Include proof of appointment (power of attorney or board resolution) and date limits to establish authorization.

Essential elements to include in a robust agreement

A complete Business Potency Agreement contains clear identification, scope of authority, duration, conditions, signature blocks, and any notarization or witness requirements.

Parties

Full legal names and entity types for the principal and any agent, including state of formation and business address to avoid identity ambiguity.

Scope of Authority

Specific actions the designee may perform (e.g., execute contracts, close accounts), including any monetary or subject-matter limits to prevent overreach.

Effective Period

Start and end dates or event-based triggers defining when the authority begins and when it terminates, including immediate revocation mechanics.

Conditions and Limits

Required approvals, reporting obligations, insurance or bonding requirements, and any prohibitions that constrain the agent’s power.

Signature Blocks

Spaces for printed names, titles, dates, and signature lines for all required parties; include acknowledgment whether initials suffice for amendments.

Notarization & Witnesses

Notary acknowledgement and witness lines where state law or counterparties require authentication for enforceability or recording.

Security, legal and compliance considerations

ESIGN / UETA: Recognizes electronic signatures as legally equivalent
HIPAA (if health data): BAA required for protected health information
Encryption standards: TLS 1.2/1.3 in transit; AES-256 at rest
Audit trail: Timestamped signing records and IP metadata
SOC 2 / ISO: SOC 2 Type II and ISO 27001 available
21 CFR Part 11: Compliant controls for FDA-regulated records

Step-by-step: preparing and executing the agreement

Follow these sequential steps to prepare, approve, and finalize a Business Potency Agreement correctly.

  • 01
Draft the document: Define parties, scope, limits, dates, and supporting references.
  • 02
Obtain internal approval: Secure board or officer approval and record the resolution if required.
  • 03
Authenticate signers: Verify identities; collect IDs or use electronic authentication.
  • 04
Sign and record: Execute signatures, notarize if needed, and distribute copies to stakeholders.

Submission and routing workflow overview

Typical routing for execution and delivery includes document upload, signer assignment, authentication, signing, and distribution.

  • Upload document: Host final draft on your document management system or eSignature platform.
  • Assign signers: Add signer emails and define signing order when needed.
  • Authenticate signer: Choose email link, SMS code, or stronger KBA/ID verification as required.
  • Complete signing: Collect signatures and generate the audit trail and final PDF.

Recommended e-signature workflow settings

Configure the online signing workflow to match your document’s legal and operational needs.

Field Configuration
Signer Authentication Email link by default; use SMS or KBA for higher assurance
Signing Order Sequential for approvals; parallel for independent signatories
Reminders & Expiry Set automated reminders and an expiry date to close stale requests
Audit Trail Capture Enable full metadata capture: timestamps, IP, and action logs

Technical requirements for secure e-submission

Ensure the chosen platform supports required authentication, formats, and integrations before e-submitting the agreement.

  • File formats: PDF, DOCX supported
  • Integrations: Salesforce, NetSuite, Google Workspace
  • Security controls: Encryption, audit trail, BAA option

Confirm the platform can produce an immutable signed PDF with an audit trail and retain records to meet regulatory retention requirements.

Common timing and processing expectations

Expect a combination of execution, authentication, and distribution steps that affect how quickly the document becomes effective.

Execution Date:

Signer dates the agreement; effective date may be the same or specified differently

Notarization Turnaround:

In-person notary can be same day; RON sessions often completed within 1–3 business days

Distribution Time:

Signed copies should be distributed immediately to parties and retained by the company

Recording or Filing:

If required, submit to recorder or regulator within the period specified by law

Revocation Notice Period:

Follow any contract-stated notice period; absent a term, provide reasonable written notice

Potential risks and legal consequences

Unauthorized acts: Third-party liability exposure
Invalid signature: Contract unenforceable without proper authentication
Notarization defect: Recording or acceptance delays
Data breach: Regulatory penalties if PHI exposed
Tax reporting errors: Backup withholding or penalties
Recordkeeping lapse: Compliance violations and evidentiary gaps

Common preparation and execution mistakes to avoid

  • Using imprecise language about authority that leaves room for conflicting interpretations and post-signature disputes.
  • Failing to attach or reference the corporate resolution or power of attorney that establishes authority to sign.
  • Accepting a signature from the wrong entity variation (DBA vs. legal entity) which can invalidate obligations.
  • Omitting notarization or witness lines where a counterparty or state law requires them for acceptance.
