BUSINESS POWERHOUSE AGREEMENT

This Business Powerhouse Agreement (the Agreement) is entered into by and between Client Name: and Service Provider Name: . The parties agree as follows:

WHEREAS

WHEREAS, the Client desires to engage the Service Provider to perform certain business consulting, operations optimization, and strategic services as further described in this Agreement; and

WHEREAS, the Service Provider represents that it possesses the relevant expertise, personnel, and resources to perform such services in a professional manner consistent with industry standards; and

WHEREAS, the parties wish to set forth their respective rights and obligations with respect to the performance, compensation, confidentiality, term, and termination of the services.

SCOPE OF WORK

The Service Provider shall provide the services described below. Services shall include the delivery of professional advisory, implementation, project management, and training services as specified by the Client and agreed in writing by the parties. The Service Provider shall perform the services in a timely and workmanlike manner and shall allocate personnel with appropriate skills.

PAYMENT TERMS

Client shall pay the Service Provider the fees set forth below in consideration for the services rendered. All fees are payable in lawful currency of the United States unless otherwise agreed in writing.

Unless otherwise agreed in writing, payments are due within the number of days specified in the Payment Schedule following Client's receipt of an accurate invoice. Late payments shall accrue interest at the lesser of one and one-half percent (1.5%) per month or the maximum rate permitted by law, beginning on the date payment is due until paid in full.

TERM AND TERMINATION

The term of this Agreement shall commence on Start Date: and shall continue until End Date: , unless earlier terminated in accordance with this Section.

Either party may terminate this Agreement for material breach by the other party if the breaching party fails to cure the breach within the notice period set forth above following written notice specifying the nature of the breach. Either party may also terminate immediately for insolvency, bankruptcy, or appointment of a receiver for the other party.

CONFIDENTIALITY

During the term of this Agreement and for a period of three (3) years thereafter, each party shall hold in confidence and not disclose, use, or permit the use of any Confidential Information of the other party except as necessary to perform its obligations under this Agreement. "Confidential Information" shall mean non-public information disclosed orally, in writing or by inspection that is designated as confidential or that reasonably should be understood to be confidential given the nature of the information and the circumstances of disclosure.

Confidential Information shall not include information that: (a) is or becomes publicly known through no breach of this Agreement; (b) is rightfully received from a third party without restriction; or (c) is independently developed without use of the other party's Confidential Information. Each party may disclose Confidential Information to the extent required by law, provided it gives prompt notice to the disclosing party and cooperates with any efforts to obtain protective relief.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of , without regard to conflict of laws principles. The parties consent to the exclusive jurisdiction of the state and federal courts located in that State for any dispute arising out of or relating to this Agreement.

ENTIRE AGREEMENT

This Agreement, including any exhibits or schedules attached hereto, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, understandings, negotiations, and discussions, whether oral or written. No amendment, modification or waiver of any provision of this Agreement shall be effective unless in writing and signed by both parties.

MISCELLANEOUS

Neither party may assign this Agreement without the prior written consent of the other party, except that either party may assign this Agreement to an affiliate or in connection with a merger, acquisition, or sale of substantially all of its assets. The waiver by either party of any breach shall not operate as a waiver of any other or subsequent breach. If any provision of this Agreement is held invalid or unenforceable, the remaining provisions shall remain in full force and effect.
