Recitals

WHEREAS, Client Name: engages the Report Preparer to identify, describe and evaluate personal property and registered security interests affecting the Client's business assets for the purposes described below; and

WHEREAS, Report Date: the Report Preparer will inspect available records and physical assets, and will prepare a written report (the "Report") detailing findings, valuations, and recommended actions with respect to the Personal Property Registry and security interests ("PPR Report");

WHEREAS, the Parties desire to set forth the scope, payment, confidentiality, and governing provisions applicable to the engagement and the resulting Report.

Scope of Work

Deliverables: Report Preparer will deliver an executed written report including an inventory of registered and unregistered personal property, summary of security interests, valuation opinions, deficiencies observed, and recommended remedial actions within days after completion of fieldwork.

PPR Inventory and Security Interests

List major assets, applicable registration numbers, secured parties, and estimated values. Add attachments as necessary to document serial numbers, registration particulars and supporting evidence.

Additional items and attachments may be appended and incorporated into the Report as exhibits. Attachments must be labeled and referenced in the corresponding item description.

All fees are exclusive of applicable taxes and expenses. Client shall reimburse reasonable out-of-pocket expenses incurred by Report Preparer in connection with the engagement upon presentation of substantiating documentation.

Either party may terminate this engagement for convenience upon written notice to the other party delivered at least days prior to the effective termination date. Termination shall not relieve Client of the obligation to pay for services rendered and expenses incurred through the effective date of termination.

Confidentiality

Report Preparer shall treat all non-public information obtained from Client as confidential and shall not disclose such information except (i) to perform the services described herein, (ii) with Client's prior written consent, or (iii) as required by applicable law, regulation, or valid judicial or administrative process. Report Preparer shall implement commercially reasonable safeguards to protect confidential information.

Notwithstanding the foregoing, Report Preparer may include anonymized, aggregated data in internal analyses and may retain copies of the Report for recordkeeping and professional liability purposes.

Indemnity and Liability Limitations

Client agrees to indemnify and hold harmless Report Preparer from and against any claims arising out of Client's provision of inaccurate or incomplete information. Report Preparer's total liability arising from this engagement shall be limited to the fees paid by Client for the services set forth in this Report, except where prohibited by applicable law.

Governing Law

This Report and any dispute arising under or in relation to it shall be governed by and construed in accordance with the law of without regard to conflict-of-law principles.

Entire Agreement

This Report, together with any exhibits and attachments expressly incorporated herein, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior agreements and understandings, whether written or oral. Any amendment to this Report must be made in writing and signed by authorized representatives of both parties.

Certifications and Acknowledgments

By signing below, Client certifies that the information provided to Report Preparer is true, accurate, and complete to the best of Client's knowledge and that Client has authority to request the services described in this Report. Report Preparer certifies that the Report will be prepared in accordance with generally accepted professional practices and that any valuation opinion will be accompanied by stated assumptions and limiting conditions.

Client acknowledges that the Report is prepared for Client's internal use and may not be relied upon by third parties without the express written consent of Report Preparer. Report Preparer does not warrant the future performance of assets or the enforceability of reported security interests.
