This Business PPRE Document (the Agreement) is entered into as of Effective Date: by and between:

RECITALS

WHEREAS, Provider conducts business involving project planning, advisory services, and related deliverables and has the expertise and resources to perform services described herein; and

WHEREAS, Client desires to engage Provider to perform certain services and deliverables on the terms and conditions set forth in this Agreement; and

WHEREAS, the parties intend for this Agreement to define the scope, compensation, confidentiality obligations and other material rights and remedies between them.

SCOPE OF WORK

Provider shall perform the services and deliver the work product set forth below. Provider will use commercially reasonable efforts to perform services in a professional manner consistent with industry standards.

PAYMENT TERMS

In consideration for the services, Client shall pay Provider the fees set forth below in accordance with the following schedule. All amounts are payable in lawful currency of the United States unless otherwise agreed in writing.

Invoices shall be submitted in accordance with the payment schedule and are due and payable within days of invoice receipt. Late payments shall accrue interest at the rate of or the maximum rate permitted by law, whichever is less. Client shall also be responsible for reasonable collection costs, including attorneys' fees.

TERM AND TERMINATION

This Agreement shall commence on Start Date: and continue until End Date: unless earlier terminated as provided herein.

Either party may terminate this Agreement for convenience upon written notice delivered at least days prior to the effective date of termination. Either party may terminate immediately for material breach that remains uncured for a period of 15 days following written notice of such breach or immediately upon insolvency, appointment of a receiver, or commencement of bankruptcy proceedings by or against the other party.

CONFIDENTIALITY

For purposes of this Agreement, Confidential Information means all non-public information disclosed by a disclosing party to the receiving party, whether oral, written or electronic, that is designated as confidential or that reasonably should be understood to be confidential given the nature of the information and the circumstances of disclosure.

The receiving party shall (i) protect Confidential Information with at least the same degree of care it uses to protect its own confidential information, but in no event less than reasonable care; (ii) not use Confidential Information except to perform its obligations under this Agreement; and (iii) not disclose Confidential Information to any third party except to employees, contractors or advisors who have a need to know and who are bound by confidentiality obligations no less protective than those in this Agreement.

Confidential Information does not include information that: (a) is or becomes publicly available through no fault of the receiving party; (b) is rightfully received from a third party without breach of any obligation of confidentiality; (c) is independently developed by the receiving party without use of the disclosing party's Confidential Information; or (d) is required to be disclosed by law, provided the receiving party gives prompt notice and cooperates in seeking a protective order or other appropriate remedy.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to conflict of laws principles. The parties submit to the exclusive jurisdiction of the state and federal courts located within that state for any dispute arising under this Agreement.

ENTIRE AGREEMENT

This Agreement, including all Schedules and attachments hereto (if any), constitutes the entire agreement between the parties concerning its subject matter and supersedes all prior and contemporaneous agreements, proposals, negotiations, and communications, whether written or oral. Any amendment or modification of this Agreement must be in writing and signed by both parties.

NOTICES

All notices, requests, consents and other communications required or permitted under this Agreement shall be in writing and delivered to the parties at the addresses set forth below or to such other address as each party may designate by notice in accordance with this section.

MISCELLANEOUS

Assignment: Neither party may assign or delegate any rights or obligations under this Agreement without the prior written consent of the other party, except that Provider may assign this Agreement in connection with a merger, sale of substantially all assets, or corporate reorganization.

Severability: If any provision of this Agreement is held invalid or unenforceable, the remaining provisions shall continue in full force and effect.

Remedies: The parties agree that monetary damages may be an inadequate remedy for breach of confidentiality or other equitable obligations; accordingly, each party shall be entitled to seek injunctive relief in addition to any other remedies available at law or in equity.
