WHEREAS, Client desires that Provider perform pre-posting services consisting of preparation, coordination, and physical posting of business notices, signage, promotional materials, and related administrative notices at locations owned or controlled by Client and at authorized third-party locations commencing on ;

WHEREAS, Provider represents that it has the experience, personnel, equipment, and, where applicable, permits and insurance necessary to perform the services described in this letter and will comply with applicable municipal regulations and reasonable site rules of property owners;

WHEREAS, the parties wish to set forth the scope of work, payment terms and other material terms governing Provider's performance and Client's obligations in connection with the pre-posting engagement.

Confidentiality

Confidential Information shall not include information which is or becomes publicly available through no fault of the receiving party, independently developed by the receiving party without use of the disclosing party's Confidential Information, or required to be disclosed by applicable law or valid legal process, provided the disclosing party is given prompt notice and an opportunity to seek protective measures.

Indemnification and Liability

Provider shall indemnify and hold Client harmless from claims arising out of Provider's negligent acts or omissions in performing the services. Client shall indemnify and hold Provider harmless from claims arising from Client-supplied materials or instructions. Neither party shall be liable to the other for consequential, special or punitive damages, except for liability arising from willful misconduct or gross negligence.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to conflict of law principles.

Entire Agreement

This letter, together with any attachments or exhibits expressly incorporated herein, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior negotiations, representations, and agreements, whether written or oral. Any modification to this Agreement must be in writing and signed by authorized representatives of both parties.

Additional Provisions

Notices required under this Agreement shall be in writing and delivered to the addresses set forth above by certified mail, courier, or email with acknowledgment. Client acknowledges that Provider may photograph postings and retain records of postings for business and compliance purposes.
