Recitals

WHEREAS, Client engages Preparer to perform preparatory business services necessary to form, organize, register, and otherwise prepare the business described above (the "Services"); and

WHEREAS, Preparer represents that it has the expertise, personnel, and authority to perform the Services in accordance with the terms of this Business Prep Form and applicable law; and

WHEREAS, the parties desire to set forth the scope, fees, timing, and other material terms governing the Services to be provided by Preparer to Client.

Scope of Work

The Preparer will perform the following Services for Client. The Services are limited to the tasks expressly listed below unless otherwise agreed in writing.

Payment Terms

Client shall pay Preparer the fees described below in consideration for the Services. All fees are non-refundable except as provided in Term and Termination.

Term and Termination

Either party may terminate for convenience upon written notice delivered at least days prior to the effective termination date. In the event of termination by Client without cause, Client shall pay Preparer for Services performed through the termination date and for any non-cancellable obligations reasonably incurred.

Confidentiality

Each party shall maintain in confidence all non-public information disclosed by the other party that is designated confidential or that, given the nature of the information or circumstances of disclosure, reasonably should be understood to be confidential ("Confidential Information"). Confidential Information does not include information that: (a) is or becomes publicly known through no breach of this agreement; (b) is rightfully received from a third party without restriction; (c) is independently developed without use of the other party's Confidential Information; or (d) is required to be disclosed by law, provided the disclosing party gives prompt written notice and cooperates with any effort to seek confidential treatment.

Upon termination, each party shall return or certify destruction of the other's Confidential Information, except that Preparer may retain one archival copy to the extent required for compliance, billing, or dispute resolution.

Representations; Indemnity

Each party represents that it has the full power and authority to enter into this Business Prep Form. Client shall indemnify and hold harmless Preparer from liabilities, claims, and expenses arising from Client's instructions or decisions, except to the extent resulting from Preparer's gross negligence or willful misconduct.

Governing Law

This Business Prep Form shall be governed by and construed in accordance with the laws of the State of , without regard to its conflicts of law principles.

Entire Agreement; Amendment

This Business Prep Form, together with any exhibits or attachments incorporated by reference, constitutes the entire agreement between the parties with respect to its subject matter and supersedes all prior and contemporaneous agreements and understandings, whether written or oral. Any amendment must be in writing signed by both parties.

Miscellaneous Provisions

If any provision of this Business Prep Form is held unenforceable, the remaining provisions shall remain in full force and effect. The parties are independent contractors. Neither party may assign this Business Prep Form without the prior written consent of the other, except Preparer may assign to an affiliate or in connection with a sale of substantially all assets.
