BUSINESS PREPARATION GUIDE AND SERVICE AGREEMENT

WHEREAS

WHEREAS, Client seeks professional services and guidance to prepare for the establishment, organization, and initial operations of Client's business, including but not limited to entity selection, compliance, financial setup, and operational planning; and

WHEREAS, Service Provider represents that it has the necessary experience, personnel, and resources to provide a structured Business Preparation Guide and associated services designed to prepare Client to commence business operations in a legally compliant and commercially prudent manner; and

WHEREAS, the parties desire to set forth the terms and conditions under which Service Provider will prepare and deliver the Business Preparation Guide and related deliverables to Client.

SCOPE OF WORK

Service Provider shall provide a written Business Preparation Guide tailored to Client's objectives and circumstances. The Guide will include, as applicable, recommendations and action items concerning entity formation, governance, licensing, tax registration, banking and financial setup, recordkeeping and accounting systems, insurance considerations, contracts and template documents, operational milestones, and a prioritized checklist for launch readiness.

PAYMENT TERMS

Client shall pay Service Provider for the services set forth in this Agreement in accordance with the fees and schedule below. All fees are exclusive of taxes and third-party costs, which are Client's responsibility unless otherwise stated.

TERM AND TERMINATION

This Agreement shall commence on the Start Date below and continue until the End Date below or until the services described in the Scope of Work are completed, unless earlier terminated as provided herein.

Either party may terminate this Agreement for material breach by the other party if the breach is not cured within the notice period specified above. Termination will not relieve Client of its obligation to pay for services performed and costs incurred through the effective date of termination.

CONFIDENTIALITY

For purposes of this Agreement, "Confidential Information" means information disclosed by one party to the other in any form that is designated as confidential or that reasonably should be understood to be confidential given the nature of the information and the circumstances of disclosure. Confidential Information includes, without limitation, business plans, financial data, customer lists, pricing, and legal documents.

Each party shall: (a) hold the Confidential Information of the other party in strict confidence; (b) not disclose such Confidential Information to any third party without the disclosing party's prior written consent, except to those employees, agents, or advisors who have a need to know and are bound to confidentiality obligations at least as protective as those hereunder; and (c) use Confidential Information solely to perform its obligations under this Agreement. Obligations under this section shall survive termination of this Agreement for a period of three years, except for trade secrets, which shall be protected for as long as they remain trade secrets under applicable law.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to its conflict of laws principles. The parties consent to the exclusive jurisdiction and venue of the state and federal courts located in the selected state for disputes arising under this Agreement.

ENTIRE AGREEMENT

This Agreement, including any attachments and written exhibits executed by the parties, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous understandings, agreements, representations, and warranties, whether written or oral. No amendment or modification of this Agreement will be effective unless in writing and signed by authorized representatives of both parties.
