BUSINESS PRESENTATION DECK

This Business Presentation Deck Agreement (Agreement) is entered into effective as of by and between Client Name: and Service Provider Name: .

RECITALS

WHEREAS, Client requires a professional presentation deck for the purpose of business communications, investor presentations, and related uses; the primary presentation title or subject is: ;

WHEREAS, Provider represents that it has the expertise, personnel, and resources necessary to design, prepare, and deliver the presentation deck in accordance with the terms set forth herein;

WHEREAS, the parties desire to set forth the scope, schedule, payment, and other terms applicable to Provider's creation and delivery of the presentation deck.

PAYMENT TERMS

Client shall pay Provider a total fee of USD for the services described herein. Payment shall be made according to the schedule below.

Unless otherwise agreed in writing, amounts not paid when due shall accrue interest at per month (or the maximum allowable by law), and Client shall reimburse Provider for reasonable collection and legal costs incurred in enforcing payment.

TERM AND TERMINATION

This Agreement commences on Start Date: and continues until End Date: , unless earlier terminated in accordance with this section.

Either party may terminate for convenience upon providing written notice at least days prior to the intended termination date. Provider may terminate immediately for nonpayment or material breach that is not cured within ten (10) days after written notice. Upon termination, Client shall pay Provider for all work performed and reasonable expenses incurred through the effective date of termination.

CONFIDENTIALITY

Each party shall maintain in confidence all Confidential Information disclosed by the other party and shall not use or disclose such information except as necessary to perform obligations under this Agreement. "Confidential Information" includes drafts, slide content, financial data, and any non-public business information. Confidentiality obligations shall survive termination for a period of three (3) years, except that trade secrets shall remain protected for as long as they qualify as trade secrets.

INTELLECTUAL PROPERTY

Unless otherwise agreed in writing, Provider shall retain ownership of Provider's pre-existing materials, templates, and methodologies. Provider grants Client a perpetual, non-exclusive, worldwide license to use the final delivered presentation deck for Client's internal and external business purposes upon full payment of all amounts due. Upon receipt of full payment, Provider shall assign to Client all right, title, and interest in the deliverables that constitute original works created specifically for Client under this Agreement, to the extent assignable by law.

ACCEPTANCE AND REVISION PROCESS

Client shall review deliverables and provide consolidated feedback within business days of delivery. Absent timely notice of rejection with specified reasons, deliverables will be deemed accepted.

EXPENSES, TAXES, AND COSTS

Client shall reimburse Provider for reasonable, pre-approved out-of-pocket expenses incurred in connection with the performance of services. Reimbursable expenses in any single instance shall not exceed USD without prior written approval.

Fees are exclusive of taxes. Client shall be responsible for any sales, use, value-added, or other taxes (excluding taxes based on Provider's income) arising from the transactions contemplated by this Agreement.

LIMITATION OF LIABILITY

Except for liability arising from gross negligence, willful misconduct, or breach of confidentiality or intellectual property obligations, neither party shall be liable for indirect, incidental, special, or consequential damages. Provider's aggregate liability for any claim arising under this Agreement shall not exceed the total fees paid by Client to Provider under this Agreement.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of without regard to its conflicts of law principles.

ENTIRE AGREEMENT

This Agreement constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous negotiations, proposals, and agreements, whether written or oral. Any amendment must be in writing and signed by authorized representatives of both parties.

NOTICES

MISCELLANEOUS

If any provision of this Agreement is found unenforceable, the remainder shall continue in full force and effect. The headings in this Agreement are for convenience only and do not affect interpretation. Neither party may assign this Agreement without the prior written consent of the other, except that Provider may assign to an affiliate or successor in connection with a merger or sale of substantially all of its assets.
