Recitals

WHEREAS, Presenter is engaged in the creation and delivery of a professional business presentation entitled "" and possesses the skills, materials, and intellectual property necessary to prepare and deliver such presentation;

WHEREAS, Client desires to engage Presenter to develop, customize and deliver the presentation described herein for Client's internal or external business purposes in accordance with the terms and conditions set forth in this Agreement; and

NOW, THEREFORE, for good and valuable consideration, the receipt and sufficiency of which are acknowledged, the parties agree as follows.

Scope of Work

Presenter shall prepare, customize and deliver the Presentation Laghora in accordance with the specifications agreed by the parties. The scope includes preparation of slides, speaker notes, rehearsal sessions, and up to two rounds of revisions unless otherwise agreed in writing.

Payment Terms

Client shall pay Presenter the fees set forth below in consideration for the services and deliverables described in this Agreement. All fees are exclusive of applicable taxes, which shall be the responsibility of the Client unless otherwise required by law.

Term and Termination

This Agreement commences on the Start Date and continues until the End Date unless earlier terminated in accordance with this section. Either party may terminate for convenience with prior written notice to the other party as provided below.

Termination for cause: Either party may terminate this Agreement immediately upon written notice if the other party materially breaches any obligation under this Agreement and fails to cure such breach within the notice period set forth above.

Confidentiality

Each party acknowledges that during the performance of this Agreement it may receive Confidential Information of the other party. "Confidential Information" means non-public information disclosed in any form that is designated as confidential or that reasonably should be understood to be confidential given the nature of the information and circumstances of disclosure. Confidential Information does not include information that: (a) is or becomes generally available to the public through no act or omission of the receiving party; (b) was in the receiving party's lawful possession prior to the disclosure; or (c) is independently developed by the receiving party without use of the disclosing party's Confidential Information.

The receiving party shall (i) use Confidential Information solely to perform its obligations under this Agreement; (ii) protect Confidential Information with at least the same degree of care it uses to protect its own confidential information, but not less than reasonable care; and (iii) not disclose Confidential Information to any third party except to those employees, contractors or advisors who have a need to know and who are bound by confidentiality obligations no less protective than those herein.

Warranties and Representations

Each party represents and warrants that it has full power and authority to enter into this Agreement and to perform its obligations hereunder. Presenter warrants that the deliverables will be original to Presenter and will not knowingly infringe the intellectual property rights of any third party. EXCEPT AS EXPRESSLY PROVIDED HEREIN, SERVICES AND DELIVERABLES ARE PROVIDED "AS IS" AND PRESENTER DISCLAIMS ALL OTHER WARRANTIES, EXPRESS OR IMPLIED.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the jurisdiction identified below, without regard to its conflict of law principles.

Limitation of Liability

Except for liability arising from willful misconduct or gross negligence, neither party shall be liable to the other for indirect, incidental, special or consequential damages, including lost profits. The aggregate liability of Presenter for claims arising out of or related to this Agreement shall not exceed the total fees paid by Client to Presenter under this Agreement.

Entire Agreement

This Agreement, together with any exhibits or attachments hereto, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals or representations, written or oral. Any amendment or modification of this Agreement must be in writing and signed by both parties.

Notices

All notices required or permitted under this Agreement shall be in writing and delivered to the addresses provided by the parties in this Agreement or to such other address as a party may designate by notice.
