BUSINESS PRESENTATION POWER POINT AGREEMENT

This Agreement is entered into as of Effective Date: by and between:

Parties

WHEREAS

WHEREAS, Client desires to engage Presenter to prepare and deliver a business presentation in Microsoft PowerPoint format and related deliverables as described below; and

WHEREAS, Presenter represents that Presenter has the skill, experience and resources necessary to produce the presentation and perform the services described herein; and

WHEREAS, the parties desire to reduce their agreement to writing and set forth the terms and conditions governing the engagement.

Scope of Work

Presenter shall prepare, design and deliver a PowerPoint presentation and related materials in accordance with the specifications below. The scope includes slide design, visual assets, speaker notes and up to the number of revisions set forth in this Agreement.

Payment Terms

Client shall pay Presenter the fees described below in consideration for the services and deliverables. Fees are exclusive of any applicable taxes unless otherwise stated.

All payments are due in United States Dollars. If Client fails to make timely payments, Presenter may suspend delivery of deliverables until all outstanding amounts are paid in full. Presenter reserves the right to recover collection costs and attorney fees incurred in enforcing payment.

Term and Termination

This Agreement commences on Start Date: and continues until End Date: unless earlier terminated in accordance with this section.

Either party may terminate this Agreement for convenience by providing written notice to the other party no fewer than days prior to the intended termination date. Termination for cause by either party is effective upon written notice if the other party materially breaches a provision of this Agreement and fails to cure the breach within 14 days after receipt of written notice.

Confidentiality

Each party acknowledges that in connection with this Agreement it may receive Confidential Information of the other party. "Confidential Information" means non-public business, technical and financial information disclosed in connection with this Agreement. Each party shall: (a) hold the other party's Confidential Information in strict confidence; (b) not disclose it except to employees, contractors or agents who need to know and are bound to protect it; and (c) not use it except to perform obligations under this Agreement. Confidential Information does not include information that is or becomes publicly available through no breach of this Agreement, was known prior to disclosure, or is required to be disclosed by law.

Intellectual Property

Unless otherwise agreed in writing, Presenter retains ownership of all original creative materials, templates and pre-existing intellectual property used in the creation of the presentation. Upon full payment of fees due under this Agreement, Presenter grants Client a nonexclusive, perpetual license to use the final delivered PowerPoint presentation for Client's internal business purposes. Any transfer of full ownership of intellectual property must be expressly documented and accompanied by additional consideration.

Client represents and warrants that any materials provided to Presenter for inclusion in the presentation do not infringe the rights of third parties and that Client has obtained any required permissions and licenses for such materials.

Revisions and Acceptance

Presenter will perform up to rounds of revisions as part of the Fee. Additional revisions will be billed at Presenter’s standard hourly rate. Client shall accept or provide consolidated written comments on each deliverable within business days of delivery; failure to do so will be deemed acceptance.

Expenses

Client agrees to reimburse Presenter for pre-approved, reasonable out-of-pocket expenses incurred in connection with performance of the services. Unless otherwise agreed, costs exceeding require Client's prior written approval.

Representations; Indemnity; Limitation of Liability

Each party represents that it has the authority to enter into this Agreement. Client shall indemnify, defend and hold Presenter harmless from third-party claims arising from Client-supplied materials or Client's misuse of the deliverables. Presenter’s liability under this Agreement shall be limited to direct damages not to exceed the total fees paid by Client to Presenter under this Agreement. In no event shall either party be liable for incidental, consequential, special or punitive damages.

Force Majeure

Neither party shall be liable for delays or failures in performance resulting from acts beyond its reasonable control, including but not limited to acts of God, labor disputes, governmental actions, pandemics or interruptions of telecommunications or internet services. The affected party shall provide notice and use reasonable efforts to resume performance.

Governing Law; Dispute Resolution

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to conflict of law principles. The parties agree to attempt to resolve disputes in good faith through negotiation. If unresolved, disputes shall be resolved in the state or federal courts located in the jurisdiction of the governing state.

Entire Agreement

This Agreement constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals, representations and understandings, whether written or oral. Any amendment to this Agreement must be in writing and signed by authorized representatives of both parties.

Miscellaneous

If any provision of this Agreement is held invalid or unenforceable, the remaining provisions shall remain in full force and effect. The parties are independent contractors; nothing in this Agreement creates a partnership, joint venture or employment relationship. Notices required by this Agreement shall be in writing and delivered to the addresses set forth above.
