WHEREAS, Presenter represents that Presenter has the necessary experience, qualifications and resources to perform the services described in this Proposal and is willing to provide such services on the terms contained in this Proposal; and

NOW, THEREFORE, in consideration of the mutual covenants and agreements contained in this Proposal, the parties agree as follows:

Late Fee:    Collection Costs and Interest: All overdue amounts shall accrue interest and the Client shall be responsible for reasonable collection costs as permitted by law.

Either party may terminate this Proposal upon written notice to the other party at least days prior to the scheduled presentation date. Termination by Client within 30 days of the presentation may result in forfeiture of the deposit and payment of reasonable cancellation fees as set forth in the Payment Schedule.

CONFIDENTIALITY

Each party shall treat as confidential all non-public information disclosed by the other party that is designated confidential or that reasonably should be understood to be confidential given the nature of the information and the circumstances of disclosure. Confidential information shall not include information that is or becomes generally available to the public other than through a breach of this obligation, or that was known to the receiving party prior to disclosure. The receiving party shall use confidential information solely to perform its obligations under this Proposal and shall not disclose it to third parties without the disclosing party's prior written consent.

INTELLECTUAL PROPERTY

Presenter retains all right, title and interest in and to any pre-existing intellectual property and original materials created by Presenter in connection with the presentation, including slide decks, handouts, and recordings. Presenter grants Client a non-exclusive, non-transferable license to use such materials for internal purposes only, unless otherwise agreed in writing. Any request for broader license, distribution, or use shall be the subject of a separate written agreement and fee.

INDEPENDENT CONTRACTOR

Presenter is an independent contractor. Nothing in this Proposal shall create an employment, agency, joint venture, or partnership relationship between the parties. Presenter shall be solely responsible for all taxes and withholdings arising from payments made under this Proposal.

LIMITATION OF LIABILITY

Except for liability arising from wilful misconduct or gross negligence, in no event shall either party be liable to the other for consequential, incidental, special or punitive damages. Presenter’s total aggregate liability arising under or in connection with this Proposal shall not exceed the total fees paid by Client to Presenter under this Proposal.

GOVERNING LAW

This Proposal shall be governed by and construed in accordance with the laws of the State of , without regard to its conflict of laws principles.

ENTIRE AGREEMENT

This Proposal, together with any attachments or written amendments signed by both parties, constitutes the entire agreement between the parties concerning the subject matter hereof and supersedes all prior and contemporaneous agreements, understandings, negotiations and discussions, whether oral or written. Any modification to this Proposal must be in writing and signed by authorized representatives of both parties.
