GENERAL BUSINESS AGREEMENT — BUSINESS PRESENTATION SLIDES

This General Business Agreement ("Agreement") is entered into as of Effective Date: by and between Client Name: with address (hereinafter "Client"), and Service Provider Name: with address (hereinafter "Provider"). Both Client and Provider are each a "Party" and together the "Parties."

Whereas

WHEREAS, Client requires professionally designed business presentation slides for use in external and internal presentations, including visual assets, speaker notes, and final slide files; and

WHEREAS, Provider has the skill, experience, and resources to design, prepare, and deliver presentation slides in accordance with the specifications set forth in this Agreement; and

WHEREAS, the Parties desire to set forth their respective rights and obligations with respect to the preparation, delivery, payment, confidentiality, and ownership of the presentation slides.

1. Scope of Work

Provider shall deliver presentation slide materials in accordance with the specifications below and any written briefs or materials provided by Client. Deliverables shall include final slide decks in editable electronic format, speaker notes where requested, and any ancillary graphic assets created by Provider.

2. Payment Terms

Client shall pay Provider the fees and expenses described below in consideration for Provider's performance under this Agreement. All amounts are payable in lawful currency as invoiced unless otherwise agreed in writing.

Late payments shall accrue interest at the rate of on the outstanding balance, compounded monthly, or the maximum rate permitted by law, whichever is lower. Client shall reimburse Provider for reasonable collection costs, including attorneys' fees, incurred in enforcing payment obligations.

3. Term and Termination

This Agreement shall commence on Start Date: and shall continue until End Date: unless earlier terminated in accordance with this Section.

Either Party may terminate this Agreement for material breach by the other Party if the breach remains uncured for a period of days following written notice specifying the breach. Provider may suspend work if Client fails to pay any undisputed sum when due and shall not be deemed in breach for such suspension.

4. Confidentiality

"Confidential Information" means non-public information disclosed by one Party to the other, whether oral, written, or electronic, that is designated as confidential or that reasonably should be understood to be confidential given the nature of the information and the circumstances of disclosure. Confidential Information includes Client materials, business plans, financial information, and proprietary slide content.

Each Party shall (a) use Confidential Information only for the purposes of performing its obligations under this Agreement; (b) restrict disclosure to those employees, contractors, or agents with a need to know and who are bound by confidentiality obligations at least as protective as those herein; and (c) apply reasonable administrative, physical, and technical safeguards to protect Confidential Information from unauthorized access or disclosure.

Confidentiality obligations shall not apply to information that is (i) already known to the receiving Party without restriction; (ii) publicly known through no wrongful act of the receiving Party; (iii) rightfully received from a third party without breach of a confidentiality obligation; or (iv) required to be disclosed by law, provided the disclosing Party is given prompt notice and the disclosure is limited to the extent required.

5. Intellectual Property and Use Rights

Unless otherwise agreed in writing, Provider retains all copyright and ownership rights in original materials, design concepts, and source files created by Provider in the performance of this Agreement. Upon full payment of the fees due, Provider grants Client a non-exclusive, worldwide, perpetual license to use and reproduce the final delivered presentation slides for Client's business purposes. If the Parties elect transfer of ownership, Provider shall execute a written assignment upon receipt of full payment.

6. Warranties; Indemnity; Limitation of Liability

Provider warrants that the services will be performed in a professional manner consistent with industry standards. EXCEPT AS SET FORTH IN THIS PARAGRAPH, THE SERVICES ARE PROVIDED "AS IS" AND PROVIDER DISCLAIMS ALL OTHER WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE.

Client shall indemnify and hold harmless Provider from and against third-party claims arising from Client-supplied content, materials, or information, including claims of intellectual property infringement, except to the extent such claims arise from Provider's gross negligence or willful misconduct.

Except for liability arising from willful misconduct or a Party's indemnification obligations, neither Party's aggregate liability under this Agreement shall exceed the total fees paid by Client to Provider under this Agreement.

7. Governing Law; Dispute Resolution

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to conflicts of law principles. The Parties agree to attempt in good faith to resolve disputes promptly through negotiation. If a dispute cannot be resolved by negotiation within thirty (30) days, either Party may pursue any remedy available at law or in equity.

8. Entire Agreement; Amendments

This Agreement, together with any written attachments and accepted briefs or purchase orders expressly incorporated herein, constitutes the entire agreement between the Parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals, and communications, whether written or oral. Any amendment or modification of this Agreement must be in writing and signed by authorized representatives of both Parties.

9. Miscellaneous

Neither Party may assign this Agreement without the prior written consent of the other Party, except that Provider may assign its rights to a successor in interest in connection with a merger or sale of substantially all of its assets. If any provision of this Agreement is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
