RECITALS

WHEREAS, Presenter is engaged in the business of preparing and delivering professional business presentations, including research, visual materials and oral delivery, and possesses experience and resources suitable to perform the services described herein; and

WHEREAS, Client desires to engage Presenter to prepare and deliver a presentation described in this Agreement and to acquire related deliverables under the terms and conditions set forth below.

NOW, THEREFORE, in consideration of the mutual promises contained in this Agreement, the parties agree as follows:

SCOPE OF WORK

Presenter will perform the following services (collectively, the "Services") for Client. The Services shall include preparation, revision, and delivery of presentation materials, rehearsal with designated Client representatives if requested, and delivery on the presentation date.

PAYMENT TERMS

Client shall pay Presenter the fees and expenses described below in consideration for the Services and Deliverables.

Invoices not paid within the agreed payment period are subject to the Late Payment Fee set forth above. Client is responsible for any reasonable collection costs, including attorneys' fees, incurred by Presenter in collecting overdue amounts.

TERM AND TERMINATION

This Agreement commences on Start Date and continues until completion of the Services unless earlier terminated as set forth herein.

Either party may terminate this Agreement for material breach if the breaching party fails to cure the breach within the notice period specified above. If Client terminates without cause less than 14 days before Performance, Client shall remain liable for any non‑cancelable costs and a reasonable termination fee not to exceed the total remaining unpaid Fee.

CONFIDENTIALITY

"Confidential Information" means non-public information disclosed by one party to the other that is designated as confidential or would reasonably be understood to be confidential. Confidential Information does not include information that is publicly available through no fault of the receiving party or that is independently developed without use of the disclosing party's Confidential Information.

The receiving party shall (i) use Confidential Information solely to perform its obligations under this Agreement, (ii) restrict access to Confidential Information to employees, contractors or agents who have a need to know and who are bound by confidentiality obligations at least as protective as those herein, and (iii) not disclose Confidential Information to any third party without prior written consent of the disclosing party unless required by law.

INTELLECTUAL PROPERTY

Except as otherwise agreed in writing, Presenter retains all right, title and interest in and to original materials, methodologies and templates created by Presenter in connection with the Services ("Presenter IP"). Presenter grants Client a non-exclusive, non-transferable, revocable license to use Deliverables for Client's internal business purposes only. Client shall not reproduce, distribute or modify Presenter IP except as permitted in writing by Presenter.

INDEMNIFICATION; LIMITATION OF LIABILITY

Each party agrees to indemnify and hold harmless the other party from third-party claims arising from the indemnifying party's gross negligence or willful misconduct in connection with this Agreement. EXCEPT FOR LIABILITY ARISING FROM GROSS NEGLIGENCE OR WILLFUL MISCONDUCT, IN NO EVENT SHALL EITHER PARTY'S AGGREGATE LIABILITY UNDER THIS AGREEMENT EXCEED THE TOTAL FEES PAID BY CLIENT TO PRESENTER UNDER THIS AGREEMENT DURING THE SIX MONTHS PRECEDING THE CLAIM.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the state of without regard to conflict of law principles. The parties submit to the exclusive jurisdiction of the state and federal courts located in that state for the resolution of disputes.

ENTIRE AGREEMENT

This Agreement, including any attachments and statements of work referenced herein, constitutes the entire agreement between the parties and supersedes all prior and contemporaneous agreements, proposals and communications, whether oral or written, relating to the subject matter of this Agreement. Any amendment or modification must be in writing and signed by authorized representatives of both parties.

MISCELLANEOUS

Notices shall be in writing and delivered to the addresses provided by the parties. If any provision of this Agreement is held unenforceable, the remainder of the Agreement shall remain in effect. The parties are independent contractors and nothing in this Agreement creates an agency, partnership, joint venture, or employment relationship.

Signatures delivered electronically or by facsimile shall be binding for all purposes.
