BUSINESS PREVENTIVE AGREEMENT

This Business Preventive Agreement (the "Agreement") is entered into as of by and between:

WHEREAS

1. Service Provider possesses technical expertise and personnel to perform preventive business risk mitigation services, including but not limited to operational inspections, policy reviews, and scheduled maintenance planning.

2. Client desires to engage Service Provider to perform preventive services aimed at reducing interruption risk and maintaining continuity of Client's business operations under the terms set forth herein.

3. The parties intend that the preventive services provided pursuant to this Agreement will be discrete, measurable, and delivered according to the Scope of Work and Payment Terms below.

SCOPE OF WORK

Service Provider shall perform the preventive services described below. Service Provider shall provide all labor, materials and supervision necessary to complete the work in a professional manner consistent with industry standards.

PAYMENT TERMS

In consideration for the performance of the Scope of Work, Client shall pay Service Provider as set forth below. All payments are due in United States currency unless otherwise agreed in writing.

TERM AND TERMINATION

This Agreement commences on and continues until unless earlier terminated as provided below.

CONFIDENTIALITY

"Confidential Information" means nonpublic information disclosed by a party that is designated as confidential or that, by its nature, would reasonably be understood to be confidential. Each party shall (a) hold Confidential Information in strict confidence; (b) not disclose Confidential Information to third parties except to its employees, contractors or advisors who have a need to know and who are bound by confidentiality obligations at least as protective as those hereunder; and (c) use Confidential Information solely for the performance of this Agreement.

Confidential Information does not include information which: (i) is or becomes publicly available without breach of this Agreement; (ii) was rightfully known to the receiving party prior to disclosure; (iii) is rightfully received from a third party without restriction; or (iv) is independently developed without use of the disclosing party's Confidential Information. Obligations of confidentiality shall survive termination of this Agreement for following termination or expiration.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of without regard to conflict of law principles.

ENTIRE AGREEMENT; AMENDMENT

This Agreement, including all exhibits and schedules expressly incorporated, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements and understandings. Any amendment or modification to this Agreement must be in writing and signed by authorized representatives of both parties.

MISCELLANEOUS

If any provision of this Agreement is held invalid or unenforceable, the remaining provisions shall remain in full force and effect. Neither party may assign its rights or delegate its obligations under this Agreement without the prior written consent of the other, except to an affiliate or in connection with a merger, sale of substantially all assets, or change of control.

NOTICES

All notices required or permitted under this Agreement shall be in writing and delivered to the addresses set forth below by certified mail, overnight courier, or personal delivery and shall be effective upon receipt.
